Jason is a self-starting, go-getting lawyer who takes a pragmatic approach to helping his clients. He co-founded Fortify Law because he was not satisfied with the traditional approach to providing legal services. He firmly believes that legal costs should be predictable, transparent and value-driven. Jason’s entrepreneurial mindset enables him to better understand his clients’ needs. His first taste of entrepreneurship came from an early age when he helped manage his family’s small free range cattle farm. Every morning, before school, he would deliver hay to a herd of 50 hungry cows. In addition, he was responsible for sweeping "the shop" at his parent's 40-employee HVAC business. Before becoming a lawyer, he clerked at the Lewis & Clark Small Business Legal Clinic where he handled a diverse range of legal issues including establishing new businesses, registering trademarks, and drafting contracts. He also spent time working with the in-house team at adidas® where, among other things, he reviewed and negotiated complex agreements and created training materials for employees. He also previously worked with Meriwether Group, a Portland-based business consulting firm focused on accelerating the growth of disruptive consumer brands and facilitating founder exits. These experiences have enabled Jason to not only understand the unique legal hurdles that can threaten a business, but also help position them for growth. Jason's practice focuses on Business and Intellectual Property Law, including: -Reviewing and negotiating contracts -Resolving internal corporate disputes -Creating employment and HR policies -Registering and protecting intellectual property -Forming new businesses and subsidiaries -Facilitating Business mergers, acquisitions, and exit strategies -Conducting international business transactions In his free time, Jason is an adventure junkie and gear-head. July 29, 2023 My name is Diamond Simpson Roberts, ESQ, MSPH and I am convinced that I can be a value added asset to most any company. As the first in my family to graduate a four-year university, I graduated from Wayne State University Law School in 2000 but could not afford a bar prep course upon completion. After over 20 years, I sat for the July 2022 UBE, successfully passed and am currently licensed in three states! This is an example of my self-motivation, internal drive and passion. I offer over 28 years of diverse experience in healthcare, strategy, sales/marketing, legal/policy and business savvy. I have many years building, leveraging, and sustaining long term relations to drive revenue as an entrepreneur and for corporations. My analytical strengths provide me with an innate ability to think through tough situations/topics while viewing both vantage points (which is excellent for law and life). I have been appointed to serve on numerous committees due to my heightened ability to identify client issues and priorities and provide solutions based upon relevant products, services and needs. I have led teams with and without authority; specifically, I have managed teams for an Adult Foster Care Facility called Etonne Cares, during my post-graduate fellowship with the largest Catholic Healthcare System in the U.S. and during my two-year executive order appointment with the Federal Government (Presidential Management Fellowship). Most importantly, I am a collaborative team player who knows how to improvise, overcome and adapt! I offer numerous years of being a pharmaceutical trainer and being an adjunct using the online platform. I welcome the opportunity to continue in the interview so that I may further highlight the skills I can (and will) contribute to my success in the role. Respectfully, Diamond Simpson Roberts, ESQ, MSPH DQSSIMPSON@GMAIL.COM M: 313-942-6747

In my thirteen years of practice, I've had the opportunity to argue cases in state, federal, and tribal courts; in subjects as diverse as gaming, land tenure, water rights, treaty rights, finance, employment, criminal defense, conflict of laws, and tort (among others). But the real value I brought my clients came through avoiding litigation, fostering relationships, and developing long-term strategies.

Employment Offer

Washington

Asked on Dec 5, 2023

Is confidentiality needed for an employment offer?

I recently received an employment offer from a company I am interested in working for. However, the offer did not include any kind of confidentiality agreement. I am concerned that the offer may not be legally binding, or that the company may not honor its terms. I am hoping to get guidance from a lawyer on whether or not confidentiality should be included in an employment offer.

Merry A.

Answered Dec 8, 2023

I would be happy to help review your offer, but, no, there are no legal requirements in employment or contract law that an employer or you must keep the terms of an offer confidential, or that the contract include any requirement that you keep anything at the company confidential. So, in theory at least, if I offered you a job at $100K/year, I could publish a full-page newspaper ad with all the terms of the contract I offered to you spelled out in the ad. (Now, you may be able to argue an invasion of privacy, but, as to the example I gave you, standing alone, I don't think you would win).

Demand Letter

Washington

Asked on Sep 17, 2023

Response to an unfair demand letter?

I recently received a demand letter from a former employer, accusing me of violating our employment agreement. The allegations are false and I believe the demands made in the letter are unfair. I am seeking legal advice to understand my rights and how I can respond to the demand letter.

Merry A.

Answered Sep 19, 2023

Hello - so sorry that you received this. First off, be aware that there is zero requirement that you reply to a demand letter; sometimes, strategically, it's better not to, because anything you say could be used against you should the employer escalate the matter. Second, in many demand letters, a lawsuit is threatened, but many people make threats and never follow through with a lawsuit. Third, if the letter is from the employer, rather than from an attorney, it's less likely to be factually and legall accurate than if it came from an attorney. Finally, if you are concerned, it'd be a good idea to have the letter AND your contract AND any other pertinent information reviewed by an employment attorney. I'd be happy to help you with this if you'd like to request me, and I can almost always provide a quick turnaround.

Employment Offer

Washington

Asked on Dec 8, 2023

How to compare multiple employment offers?

I recently received multiple job offers and I'm having difficulty deciding between them. I'm trying to weigh the pros and cons of each offer, and would like to know what considerations should be taken into account when comparing multiple employment offers. I'm concerned about the salary, benefits, vacation time, and job responsibilities, but I'm not sure what other factors I should consider.

Merry A.

Answered Dec 12, 2023

Congratulations on receiving multiple job offers. In addition to what you listed as considerations, above, you can review things such as whether these are all for employment (rather than independent contractor); whether you would be considered "at will" or would be given a number of rights as an employee; and whether the employer would provide training/mentorship etc. If I were in your shoes, I'd compare reviews of each employer, as an employer - this can be hard to find, but Glassdoor.com has a limited number of reviews of certain employers. If at all possible, reach out to some current employees at each company and ask the same or similar questions, such as "what do you like or dislike most" about your job and the employer?

Employment Handbook

Washington

Asked on Aug 10, 2023

Employment handbook employee rights?

I am an employee of a company and I recently received a copy of the Employment Handbook that outlines the rights and responsibilities of the employees. After reading through the handbook, I am concerned that some of the policies may not be in compliance with the law. I want to make sure that my rights as an employee are being respected and that I am fully aware of any legal obligations that I may have.

Merry A.

Answered Aug 18, 2023

Hello - I have been an attorney for nearly 38 years and specialize in employment law. It would be helpful to know what policies concern you, but be aware that federal and state law, and usually county and city as well, override any policies that are incorrect. Meanwhile, keep in mind that if you are an "at will" employee you have few, if any rights (other than certain ones protected by law); that sometimes employers don't keep up with updating their polices; and that HR is not your friend. If you feel your rights are not being respected, you may want to book a 30 or 60 minute consultation with a WA State Employment attorney. If you feel you have been or are being discriminated against because of a protected class status, you can also file discrimination complaints with the WA State Human Rights Commission and/or the EEOC. If you are not getting the wages you should be receiving, you can file a wage complaint with the state; you will be protected from retaliation for doing so. If you feel your working conditions are unsafe, you can file a complaint with the WA State equivalent of OSHA, and/or with OSHA (federal). Best wishes, Merry

Contractor Agreement

Washington

Asked on Oct 24, 2023

How is performance evaluated in a contractor agreement?

I am a small business owner looking to hire a contractor for a project. I want to ensure that the performance of the contractor is evaluated fairly so that I can make sure I am getting the best value for my money. I am interested in understanding how performance evaluations are laid out in a contractor agreement.

Merry A.

Answered Nov 21, 2023

When drafting an independent contractor agreement, including terms to evaluate the contractor's performance is essential for ensuring quality and accountability. It's important to ensure that these terms are clear, achievable, and fair. Both parties should agree upon these terms before work commences. It's often advisable to consult with a legal professional to ensure that the agreement is legally sound and aligns with both parties' interests. Performance Standards: Define clear, measurable standards for the work. Milestones and Deadlines: Establish specific project milestones and deadlines. Regular Reviews: Schedule periodic reviews for progress checks and feedback. Quality Requirements: Specify quality standards and industry regulations to be met. Communication: Outline expectations for responsiveness and communication frequency. Reporting: Require regular progress reports from the contractor. Performance Metrics: Include specific metrics for evaluating work quality, efficiency, and cost management. Amendment for Improvement: Allow agreement modification for performance improvement plans. Termination for Unsatisfactory Performance: Define conditions for contract termination due to poor performance. Evaluation Methodology: Describe how and by whom the contractor’s performance will be evaluated. Dispute Resolution: Provide a process for resolving performance-related disputes. Confidentiality: Emphasize the importance of confidentiality in project details and evaluations.
