Dennis Sponer co-founded ScripNet, a uniquely designed Pharmacy Benefit Management (PBM) company in 1997. After serving as In-House Counsel for one of Las Vegas’ largest healthcare conglomerates, Dennis devised a payor based technological solution to the challenge of pharmaceutical payment and remittance. As one of the first workers’ compensation specific Pharmacy Benefit Managers in the industry, Dennis pushed the boundaries of what a PBM can do. ScripNet was a three-time winner of the Inc. 500 and was named to the Inc. 5000 numerous times thereafter. Clients of ScripNet included some of the largest carriers, governmental entities, and self-insured employers in the nation, including FedEx, Starbucks, Lockheed Martin, the Cities of Dallas, Atlanta and Philadelphia as well as the State of Texas and the State of Nevada. After fifteen years of exceptional growth and class leading industry recognition, ScripNet was acquired in 2012 by Optum Healthcare Solutions. After selling ScripNet, Dennis served as Executive Vice President for the acquiring company and was successful in integrating ScripNet into the larger entity. His latest venture, HSARx, was a consumer facing Pharmacy Benefit Manager focused on the owners of health savings accounts. He sold HSARx to SwiftScript in October of 2023. Dennis obtained his Juris Doctorate from Brigham Young University where he served as Note and Comment Editor of the Law Review. He then obtained his Master of Laws in Taxation (L.L.M.) from the University of San Diego. After selling ScripNet, Dennis returned to school to earn his TRIUM MBA, the program jointly administered by New York University's Stern School of Business, the London School of Economics and HEC Paris. Severance Agreement

North Carolina

Asked on Jun 2, 2023

What is a severance agreement?

I recently accepted a job offer from a new company, but before I start my new position the company has asked me to sign a severance agreement. I'm not familiar with this type of document and am unsure of what it entails. I'm looking to learn more about severance agreements so that I can make an informed decision.

N'kia N.

Answered Jun 6, 2023

There are two main types of Severance Agreements. One is signed at the beginning of an employment relationship and the other is signed at the end. When a Severance Agreement is signed at the beginning of an employment relationship, "severance" is what the employer promises to pay (above and beyond the employee's regular wages) when employment terminates i.e. when the parties "sever" ties. The sum of severance pay is typically calculated by how long the employee had been employed by the company at the time of separation. Before signing this type of Severance Agreement, a prospective employee should be sure that it clearly defines all the important terms and conditions. For example, the Severance Agreement may address how long the employee must be employed to become eligible for severance pay, how long after termination the severance pay will be paid, whether severance pay will be paid in a lump sum, and what could cause the employee to forfeit severance pay.

Employment Handbook

Florida

Asked on Jul 4, 2023

Employment handbook disciplinary policy?

I am an employee at a large company and I recently received a disciplinary action for an incident that occurred in the workplace. I was given a copy of the company's Employee Handbook, but I am not sure what the disciplinary policy is or what the consequences are for violating the policy. I would like to understand the disciplinary policy so that I can better understand the disciplinary action taken against me.

Answered Aug 15, 2023

You would have to submit the policy to an attorney so that it can be explained to you. You can submit a work order through ContractsCounsel.

Physician Employment Agreement

Florida

Asked on Jul 7, 2023

Are physician employment agreements required?

I am a physician who is considering a new job opportunity. I have been presented with an employment agreement, but I am unsure if I am legally obligated to sign it. I am looking for guidance on the legality of physician employment agreements and whether or not I am required to sign one.

Daniel D.

Answered Jul 18, 2023

Physician employment agreements are not required by Law but that does not mean they are not required by the Employer. Employers have these agreements in place to set the terms of the employment regarding salary, length of employment and any other relevant terms that they want the employee to agree to. But, that also means you as the employee could negotiate provisions into the agreement that you want if the employer is willing to put them in. You legally don't have to sign one, but your future employer can still require a signed agreement. Before you sign anything you should make sure you understand the terms and provisions of the agreement.

Amendment To Employment Contract

Massachusetts

Asked on Nov 23, 2021

Who helps with healthcare employment contracts?

I am a Nurse Practitioner and work for a national wound care company. I have a current employment contract but my company has made an amendment to it which discusses my newer compensation model (work RVU). I would like someone to look over my contract with this amendment. Can you help me find someone. I am in Massachusetts (Springfield area). Thank you

Richard G.

Answered Jan 4, 2022

I would be happy to review your contract. I am a registered nurse myself as well as an attorney and have a great deal of experience in contract review. My flat fee is $300 for this service and would result in a thorough evaluation of all aspects (from a legal perspective) of the current contract and how the amendment alters that legal perspective.

Noncompete Agreement

Washington

Asked on Jul 11, 2023

Noncompete agreement termination options?

I recently left my job after signing a Noncompete Agreement. I am looking for a new job, but I am concerned about the restrictions in the Noncompete Agreement and how it might affect my ability to find a new job. I am looking for advice on my options for terminating or modifying the Noncompete Agreement so that I can find a new job without having to worry about any potential legal repercussions.

Merry K.

Answered Aug 15, 2023

I am a WA State employment attorney. If you didn’t receive anything in return for signing the non-compete, it may be relatively easy to get out of it. If, however, you signed in return for something, such as a severance package, it will be challenging to get out of the agreement. However, many non-compete agreements are written overly broadly and may not be enforceable under the laws of WA and other states. You may want to consult with a WA State employment attorney for a review of the documents and law(s) of the state(s) where you may want to work or set up a business. (A WA State attorney can only provide legal advice in WA, but can help you find applicable law/case decisions for other states but without providing anything beyond information, much like a law librarian).
