Jason is a self-starting, go-getting lawyer who takes a pragmatic approach to helping his clients. He co-founded Fortify Law because he was not satisfied with the traditional approach to providing legal services. He firmly believes that legal costs should be predictable, transparent and value-driven. Jason’s entrepreneurial mindset enables him to better understand his clients’ needs. His first taste of entrepreneurship came from an early age when he helped manage his family’s small free range cattle farm. Every morning, before school, he would deliver hay to a herd of 50 hungry cows. In addition, he was responsible for sweeping "the shop" at his parent's 40-employee HVAC business. Before becoming a lawyer, he clerked at the Lewis & Clark Small Business Legal Clinic where he handled a diverse range of legal issues including establishing new businesses, registering trademarks, and drafting contracts. He also spent time working with the in-house team at adidas® where, among other things, he reviewed and negotiated complex agreements and created training materials for employees. He also previously worked with Meriwether Group, a Portland-based business consulting firm focused on accelerating the growth of disruptive consumer brands and facilitating founder exits. These experiences have enabled Jason to not only understand the unique legal hurdles that can threaten a business, but also help position them for growth. Jason's practice focuses on Business and Intellectual Property Law, including: -Reviewing and negotiating contracts -Resolving internal corporate disputes -Creating employment and HR policies -Registering and protecting intellectual property -Forming new businesses and subsidiaries -Facilitating Business mergers, acquisitions, and exit strategies -Conducting international business transactions In his free time, Jason is an adventure junkie and gear-head. Wayne State University

July 29, 2023 My name is Diamond Simpson Roberts, ESQ, MSPH and I am convinced that I can be a value added asset to most any company. As the first in my family to graduate a four-year university, I graduated from Wayne State University Law School in 2000 but could not afford a bar prep course upon completion. After over 20 years, I sat for the July 2022 UBE, successfully passed and am currently licensed in three states! This is an example of my self-motivation, internal drive and passion. I offer over 28 years of diverse experience in healthcare, strategy, sales/marketing, legal/policy and business savvy. I have many years building, leveraging, and sustaining long term relations to drive revenue as an entrepreneur and for corporations. My analytical strengths provide me with an innate ability to think through tough situations/topics while viewing both vantage points (which is excellent for law and life). I have been appointed to serve on numerous committees due to my heightened ability to identify client issues and priorities and provide solutions based upon relevant products, services and needs. I have led teams with and without authority; specifically, I have managed teams for an Adult Foster Care Facility called Etonne Cares, during my post-graduate fellowship with the largest Catholic Healthcare System in the U.S. and during my two-year executive order appointment with the Federal Government (Presidential Management Fellowship). Most importantly, I am a collaborative team player who knows how to improvise, overcome and adapt! I offer numerous years of being a pharmaceutical trainer and being an adjunct using the online platform. I welcome the opportunity to continue in the interview so that I may further highlight the skills I can (and will) contribute to my success in the role. Respectfully, Diamond Simpson Roberts, ESQ, MSPH DQSSIMPSON@GMAIL.COM M: 313-942-6747

Is agreeing to a ToS the same as signing a contract?

I would like to learn if opt ins to website agreements are the same as signing a contract.

Ema T.

Answered Apr 21, 2021

Terms of service can be a binding contract (if your terms of service are not binding they are basically useless). In most cases, if a user had actual or constructive notice that the use of the service is subject to the terms of service and the user has accepted the terms of service online then those terms of service will become a contract just as if the user has physically signed it. If however, after signing electronically the user is also required to sign a physical copy to become a customer the physical copy will usually prevail. New York

Asked on Apr 21, 2021

When do you recommend I draft a custom Privacy Policy for my site?

I downloaded a free privacy policy and we are starting to get more users on our site. I am not sure when I would need to draft something custom.

Ema T.

Answered Apr 21, 2021

The Privacy Policy should be located on your website from the moment your website is "up in the air" therefore it is recommended to contact a lawyer to draft it at least 2 weeks prior to the launching of the website. The privacy policy provides information to visitors of the website on the operators of the website collect, use, store and protect the personal data of the visitors. Personal data can be information provided by the users (personal and financial is most common) or information collected automatically such as IP. Each privacy policy should be tailored to the specific website or app. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website. it is being used because the exact content of the privacy policy is dependent upon the function of the site that it relates to, the information it gathered, and how it is being used. An important note about PP is that certain countries and states have specific rules regarding the use of their residence data and those should be addressed in your PP if you are planning to operate in these areas.

Software Agreement

Connecticut

Asked on May 16, 2023

Software agreement and governing law?

I am a software developer and I am currently in the process of negotiating a software agreement with a potential customer. I am looking to understand which governing law would apply to such an agreement. This is important for me to understand in order to make sure that both parties are adequately protected in the event of any disputes or other issues that may arise from the agreement.

Thomas L.

Answered Jun 16, 2023

I have drafted software agreements for countries throughout the world, and in nearly every US state. I can give an analysis of your various choices.

Asked on Apr 21, 2021

What is the difference between a Terms of Service and a Terms of Use policy?

I need terms and conditions for my website and wanted to see if there was a difference between these documents.

Ema T.

Answered Apr 21, 2021

Terms of use and terms of service are both legally binding documents that a user must agree to and abide by in order to use your website or service. The main difference is that what is usually called terms of use is intended for any user accessing (visiting) your website. Terms of service will be directed for those who not only visit the website but also choose to purchase (or try if there is a trial period) the service offered. Both documents are similar but each contains unique terms. Because both are legal documents and can be binding if the terms within them are legitimate it is recommended to have a legal professional draft them and tailor those specific terms relevant for your website and/ or service. Any information provided as an answer to these questions does not constitute legal advice and does not create an attorney-client relationship between the attorney and anyone in relation to any information provided under the Q & A section of this website.

Software License

Tennessee

Asked on May 5, 2021

What is a breach of contract? I have signed an EMR software license.

I am a nurse practitioner and I have signed a contact with a company to use their software (EMR) for my Upcoming clinic. Even though the clinic still awaiting credentialing, i have been paying monthly fees. During recent implementation process, i had a conflict with the salesman and he informed me that i have signed a 5 year contract and i am subject to deal with collection agency. I have stoped the process and not trusting to work with this company. The company states that i have a obligation to pay for 5 years if i cancel the contact or to continue to work with them. What should i do?

Forest H.

Answered May 6, 2021

Your options in a long term services contract will depend heavily on the contract you signed. Rarely are there no options to end a contract early but it would require reviewing the contract and potentially negotiating with the company.

I got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
