I was born in Charlotte, NC and primarily raised in Dalton, GA. I graduated from Dalton High School in 1981 where I was in the band and the French club. I also participated in Junior Achievement and was a member of Tri-Hi-Y. New York granted my first license as an attorney in 1990. I then worked as a partner in the firm of Broda and Burnett for almost 10 years and as a solo practitioner for about 2 years. I worked as a general practitioner (primarily doing divorces, child abuse cases, custody matters and other family law matters, bankruptcy, real estate closings, contracts, taxes, etc.) and as a Law Guardian (attorney who represents children). I obtained my license in Tennessee in December 2002 and began working as an associate at Blackburn & McCune from February of 2003 until May of 2005. At Blackburn & McCune I provided telephone legal counsel to Prepaid Legal Services (now known as Legal Shield) members, wrote letters for members, reviewed contracts, attended hearings on traffic ticket matters and represented members with regard to IRS matters. In May of 2005, I went to work for North American Satellite Corporation where I served as Corporate Counsel. In 2010, I volunteered as a law clerk for Judge Robert Adams in Dalton, Georgia until I obtained my license to practice law in Georgia in November, 2010. In Georgia, I have handled a variety of family law matters, drafted wills, advanced health care directives, power of attorney documents, reviewed and drafted contracts, and conducted real estate closings. Currently, I accept cases in the areas of adoption, child support, custody, divorce, legitimation and other family law matters. In addition, I handle name change petitions and draft wills.

Joint Venture Agreement

Georgia

Asked on Apr 11, 2023

What are the voting rights in a joint venture?

I am looking to enter into a joint venture with a business partner. We are both making a significant investment of resources and capital, and we want to ensure that we have a clear understanding of the voting rights associated with the venture. We want to make sure that each party's interests are protected and that all decisions are made in a fair and equitable manner.

Karen M.

Answered May 6, 2023

The voting rights should be based on what the parties determine to be appropriate based on your particular teaming arrangement. You also should consider if there is any voting requirement based on an end-user for the joint venture (e.g., governmental authority may require a majority ownership by one of the joint venturers as well as majority voting rights as in the case of an 8(a) certified entity).

Cease and Desist

Georgia

Asked on Mar 14, 2022

When to send a Cease and Desist Letter?

I am a small business owner (retailer), and had a long time staff member (Michael) develop a drinking problem. He felt comfortable enough to come to work intoxicated on a few occasions putting the rest of the staff and my business at risk. He was a supporting manager and had keys to the store. One day he had to be driven home from work because he was too inebriated. Another staff member who drove him to his home gave him a couple of days to come clean to me before she would tell me what happened. He never told me even though i gave him every opportunity to do so. So I had a meeting with him and explained that I was disappointed and wanted to help him, but my business and family had to be protected as well so I took his keys and title away while keeping him employed and at the same pay rate. I did this in hopes that he would get some help and didn't have to worry about being unemployed. Then Covid hit. Had to shut down for a little while. I kept in communication with my team (including Michael) throughout. Everyone responded except Michael. When it was time to re-open I asked everyone to respond letting me know if they were coming back to work. Everyone responded except Michael. Never heard from him again. So, I terminated him under "job abandonment". He then went to work at another local shop, and so I was happy for him and went on with my life and business. A couple of weeks ago I started to get some messages from mutual friends asking me what Michael was posting about on Facebook and other platforms and it turns out he has been posting derogatory comments (all lies) about how we treated him horribly and these could affect my business. None of our staff members can see these posts directly because he has blocked us all. We have, however, been receiving screenshots from mutual friends. Again, this went down over two years ago! I kept him employed I paid him through the pandemic including doing his unemployment paperwork weekly. I didn't fire him. He chose not to come back to work I demoted him and kept him at the same pay rate I tried every way that I could to help him find help I simply want this to stop as I did nothing wrong and did much more than any other employer would have. His parents are enablers and are probably behind this.

Hello, In Georgia, defamation consist of producing a false and defamatory statement about another. Libel consists of writing (via text, social media, or even through a review) a false and malicious defamation of another, expressed in print, writing, pictures, or signs, tending to injure the reputation of the person. Finally, slander of (oral defamation) occurs by making charges against another in reference to his trade, office, or profession, calculated to injure him therein; or uttering any disparaging words productive of special damage which flows naturally therefrom. You can write a letter to your former employee outlining the law and describing how they defamed you and your business. If you have any questions, feel free to reach out to me and set up a consultation. Thanks, Meghan K Thomas, Esq

Business Contract

Georgia

Asked on Jun 16, 2022

What would an individual hoping to start small businesses with no funding now need in a loyal and sincere legal professional?

I am a woman who have varied ideas for businesses and who needs to have a cost line item for a good lawyer who can handle my needs (which I may not know now) in starting a consulting business in managing projects, travels, speech deliveries - story telling, and may be, some property deals among others. I am also one who have a nonprofit that needs guidance. I may be the focus brand but with for profit and nonprofit organization biases. How do i proceed with inclusion in my proposed budget for a reasonable, fair and loyal legal professional who can grow with me and stay on me for progress? I can also become internationally business minded. Costing please?

Stock Purchase Agreement

California

Asked on Jun 4, 2023

Stock purchase agreement legal requirements?

I am looking to purchase stock in a company and I want to ensure that I am legally protected. I am looking to enter into a Stock Purchase Agreement with the company, and I want to make sure that all legal requirements are met before I sign the agreement. I am looking for advice on what legal requirements need to be met in order for the Stock Purchase Agreement to be legally binding.

Russell M.

Answered Jun 20, 2023

It's important to note that this is not an exhaustive list, and specific considerations may vary depending on the circumstances. Consulting with a qualified attorney is crucial to tailor the agreement to your specific needs. Here are some key areas to focus on: 1. Stock Description: Clearly define the shares being purchased, including the class of stock, number of shares, and any special rights or restrictions associated with the shares. You absolutely want to see the full record of the articles of incorporation, bylaws and any possibly existing shareholder agreements that could modify your rights in any way. 2. Purchase Price and Payment Terms: Specify the agreed-upon purchase price, payment structure (e.g., lump sum or installment), and any contingencies or adjustments based on audited financial statements or other factors. 3. The stock sale transaction is approved by the Board of Directors and possibly the Shareholders. You should be able to see the corporate action, either as a Written Consent or a Resolution taken by vote and certified by the corporate Secretary, who is the officer responsible for recording the minutes. 4. Representations and Warranties: Require the seller to make certain representations and warranties regarding the company's financial condition, assets, liabilities, contracts, intellectual property, compliance with laws, and any pending litigation. 5. Conditions Precedent: Specify the conditions that must be met before the transaction can be completed, such as obtaining necessary regulatory approvals, consents, or waivers. 6. Due Diligence: You should conduct thorough due diligence on the company, its financial records, contracts, intellectual property, and any other relevant aspects to identify any potential issues or risks. Generally, an acknowledgement of your access to, and conduct of, due diligence is good to include in the agreement. 7. Proper completion of any securities filing. Particularly if you are not the only investor, past present, or future, you should expect and require the company to be compliant with securities rules. Failure to observe the securities rules is red flag. 8. Governing Law and Jurisdiction: Determine the governing law and jurisdiction that will apply to the interpretation and enforcement of the agreement. Remember also that if you are investing in a corporation that is incorporated in a state other than where you reside, that state corporation law will generally govern your shareholder rights.

Joint Venture Agreement

Texas

Asked on Mar 21, 2023

What's normal term in a joint venture?

I am currently in discussions with another company to form a joint venture to pursue a business opportunity. As part of our negotiations, we are trying to determine the appropriate term for the joint venture, including the duration of the joint venture and the conditions under which it can be extended or terminated. However, I am unclear on what is considered a normal or typical term for a joint venture, and what factors should be considered when determining the length of the venture. Therefore, I would like to seek the advice of a lawyer to guide me through the process of negotiating the term of the joint venture and to ensure that the terms are legally sound and meet my needs.

Jimmy V.

Answered Mar 21, 2023

A joint venture is a partnership organized for a specific purpose. Let's say that you formed a joint venture to renovate a house and sell it. The joint venture ends once the project is completed. In this case the joint venture would end when you sold the house, PS For more information about business entities, download a free copy of my ebook "Should Your Small Business Become a Corporation or an LLC?
