What would an individual hoping to start small businesses with no funding now need in a loyal and sincere legal professional?
I am a woman who have varied ideas for businesses and who needs to have a cost line item for a good lawyer who can handle my needs (which I may not know now) in starting a consulting business in managing projects, travels, speech deliveries - story telling, and may be, some property deals among others. I am also one who have a nonprofit that needs guidance. I may be the focus brand but with for profit and nonprofit organization biases. How do i proceed with inclusion in my proposed budget for a reasonable, fair and loyal legal professional who can grow with me and stay on me for progress? I can also become internationally business minded. Costing please?

Jurisdiction for a business contract?
I am starting a new business venture and need to create a business contract. I am unsure of which jurisdiction the contract should be written in, as my business will have operations in multiple states. I am looking for advice on which jurisdiction would be most suitable for my business contract.

I most instances, I would specify in the contract that the laws of the State of your principal office and business operations apply to the contract. I would also include a mandatory local jurisdiction and local venue for the same reasons. Choice of Law, Jurisdiction, and Venue are each separate concepts.

I recently filed a UCC 1 online with the NYSDOS. I need to file a more perfected UCC 1 by mail. And if I can will the 2nd filing supercede the 1st one?

Would creating an investment LLC benefit me?
I am an active day trader (and may invest in real estate this year) so, would setting up an "investment LLC" be a benefit for me and help me lower my tax obligation when taking monthly profits as part of my "salary"? Should I include my wife as an employee and pay her as an expense? And, my sons, to a lesser degree? Would Capital gains be calculated differently if I just invested as an individual?
