Operating Agreement

Pennsylvania

Asked on Jun 7, 2022

Can you explain and help with the process of dividing the LLC into 99% and 1%?

I would like to make my dad a 1% owner in the company In order to have an LLC in PA under the age of 18. Me being 17, I would like to create an LLC so that I can function and be fully legal and transparent to the state of PA. I need more specific 1 on 1 guidance on how I can fully make this possible. Any information helps, thank you.

Ryan W.

Answered Jun 14, 2022

Hi. This is a difficult question in terms of application and practicality. There is nothing in the LLC laws that prevent a minor from owning an LLC in Pennsylvania. However, the minor may not have capacity to sign a binding agreement such as the documents necessary to create an LLC. More than likely an option to consider may be to have a parent form the LLC and grant the minor an ownership interest through an operating agreement. However, each situation may be different and I urge you to contact legal counsel to discuss your specific circumstances.

Demand Letter

Illinois

Asked on Sep 18, 2023

Rejecting claims in a demand letter?

I recently received a demand letter from a former business partner that is making several claims regarding our agreement and the dissolution of our partnership. I believe that most of the claims are baseless and would like to know what my legal options are for rejecting these claims in the demand letter.

Frank V.

Answered Sep 29, 2023

Your options range from ignoring the letter to writing a detailed and specific response to the letter. If you choose to respond, either verbally or in writing, you should consult with an attorney to make sure that you don't make any statements that come back to harm you. For example you might admit to something that gives your former partner grounds for a lawsuit.

Contractual Agreement

Michigan

Asked on Apr 14, 2022

Me and my friends are planning to start a business.but using using my Friend's place..so what type of contract should I look into??

Can I draft my own contract and take it to police to stamp it after reaching my agreement with my friend,?

David H.

Answered Apr 15, 2022

In most cases, contracts only need to be signed by the parties to the contract. The contract should have the key information related t the parties signing and the terms and length of the agreement to name a few clauses that need to be included. There are some contracts that need to be notarized. The police may have a notary, but your bank may also. There are many components to your question - ownership of the business, who does what in the business, business formation, is there a need for insurance to cover risks, and other items. There are tools online to help or you can use an attorney. With an attorney you will get specific assistance for your business, online it may be more generalized information you find.
