Any tax benefits of a joint venture?

I am currently exploring the possibility of forming a joint venture with another company to pursue a business opportunity. While I am aware of the potential benefits of sharing resources and expertise with another company, I am also interested in understanding if there are any tax advantages to forming a joint venture. Therefore, I would like to seek the advice of a lawyer to guide me through the potential tax benefits and implications of a joint venture.

A joint venture is a type of partnership. Unless the partnership elects to be taxed like a corporation, it is a pass-through entity for income tax purposes. In other words, there is no taxation at the company level, just at the individual level. LLC legal requirements?

I am interested in starting a business and I am considering setting it up as a limited liability company (LLC). I want to make sure that I understand all of the legal requirements that come with setting up and operating an LLC. Hi there, Generally speaking, "limited liability" of LLC means that no member will be personally liable for the LLC's obligations in excess of the amount that he or she contributed, or is otherwise obligated to contribute, to the LLC. In order to enjoy this liability protection, you want to make sure that you respect the boundaries and formalities of your business by: 1. Keeping your business capitalized enough to carry out its normal business functions and meet its reasonably anticipated obligations; 2. Keeping your business assets separate from your personal assets (like not using company truck to run personal errands); 3. Having separate bank accounts; 4. and following corporate formalities like keeping records of meetings, documenting important business actions, and having an operating agreement.

Hi there. My boss has me as a 1099 employee. Is she legally allowed to give us a contract that I have to sign?

I am a hairstylist. I pay my own taxes every year as a self employed person. Yet my boss sets rules and takes 50% of my commission. I have no idea if any of what she’s doing is legal.

I would need a lot more info to answer this question.. is she directing how you do your job? Is there a contractor agreement in place? Just having you sign a contract is not illegal, however.

LLC and subsidiary formation?

I am in the process of starting a business and am looking to form a Limited Liability Company (LLC). I plan to have a subsidiary company, and am looking for advice on the best way to structure the LLC and subsidiary. I am also interested in learning what other legal considerations I should be aware of when setting up the LLC.

If you are interested in forming a series LLC (SLLC) in which a group of LLCs are owned in a tiered-down structure such that the top tier LLC owns the lower-tiered LLCs, then you have to from the SLLC in another state. A SLLC cannot be formed in California. You must register with the foreign SLLC with the California Secretary of State (SOS) before they start doing business in California. In California, LLCs can have one or more members. A member can be an entity or an individual. So if you are forming the LLCs in CA, then one LLC can own another LLC. There are various considerations when forming a LLC in California such as filing the appropriate documentation with the CA Secretary of State (e.g., Articles of Organization, Statement of Information), and having an Operating Agreement to govern, among other things, the LLC's business; LLC's management; members' rights, financial obligations and managerial duties; allocation of profits, losses, and distributions; tax implications; admitting new members or transferring interest; dissolution and winding up of the LLC.

In a partnership, each of you is liable for all debts of the partnership. Your personal assets are at risk if anything goes wrong. You should set up as a limited liability company. That way, only the LLC can be liable, and you will not be personally liable. To se up an LLC, you need a filing with the state, an Operating Agreement, and an Employer Identification Number from the IRS. The Operation Agreement is, in effect, a partnership agreement.
