LLC and member liability?

I am interested in forming a limited liability company (LLC) and am seeking legal advice regarding the protection of my assets and the liabilities of the LLC members. I am concerned about the potential risks associated with being a member of an LLC and would like to understand what kind of protection I can expect.

Gagandeep K.

Answered Jun 7, 2023

In general, there are benefits and drawbacks in the LLC structure so it is important to weigh these in deciding if an LLC makes the most sense for your business. Some of the benefits to the LLC structure are limiting personal liability, tax advantages, and flexibility in the structure, among others. There are also some limitations to the LLC structure such as in raising investment and limitation on liability protection. You can learn more about the LLC structure, protections, and risks here https://www.contractscounsel.com/t/g/us/llc/13. For specific questions about an LLC structure as it applies to you business, please consult an attorney.

Asked on May 13, 2022

how much does it cost to create a real state single member LLC?

I own a duplex that i rent in columbia MO, and i want to create an LLC

Michael V.

Answered May 17, 2022

The state filing fee for an LLC's Articles of Organization is about $105. To draft and prepare an operating agreement would cost ~ $500 depending on who you hire. The cost of advisory services (like taxes) after LLC formation will be a little costlier depending on the complexities of the business and its owner.

C Corp

Ohio

Asked on Jul 11, 2024

What are the steps and requirements for forming a C Corporation?

I am currently in the process of starting my own business and I have decided to structure it as a C Corporation. I have done some initial research on C Corp formation, but I am still unsure about the specific steps and requirements involved. I would like to consult with a lawyer to get a clear understanding of the process, including any necessary documents, fees, and legal obligations that come with forming a C Corporation. This information will help me ensure that I am following the correct procedures and meeting all the legal requirements in establishing my business as a C Corporation.

Paul S.

Answered Jul 12, 2024

You form a corporation by filing articles of incorporation with the Secretary of State. Then you will need initial board resolutions to authorize various post-incorporation organizational matters, as well as bylaws. You will also need to issue stock to the founders. This is the kind of project I have handled for dozens of clients.

Referral Partner Agreement

New York

Asked on Nov 6, 2024

Can you explain the key terms and obligations in a Referral Partner Agreement?

I am a small business owner considering entering into a Referral Partner Agreement with another company. This agreement would allow me to refer potential customers to their business in exchange for a commission on any resulting sales. However, I am unsure about the specific terms and obligations that should be included in this agreement to protect my interests and ensure a fair partnership. I would like to consult with a lawyer to understand the legal implications and requirements of such an agreement, as well as to clarify any potential risks or liabilities that I should be aware of.

Danny J.

Answered Dec 14, 2024

When considering a Referral Partner Agreement, it's essential to focus on the most critical terms that can significantly impact your business. Here are five key elements you should pay close attention to: 1. Commission Structure: - Defines the compensation for successful referrals - Specifies how and when commissions are calculated and paid 2. Scope of Referral Relationship: - Outlines the specific products or services covered - Defines the territories or markets where referrals can be made 3. Confidentiality and Non-Disclosure: - Protects sensitive business information - Addresses the handling of customer data 4. Term and Termination: - Specifies the duration of the agreement - Outlines conditions for termination and any post-termination obligations 5. Indemnification and Liability: - Allocates responsibility for potential legal issues - May include limitations on liability for certain types of losses While these are crucial elements, it's important to note that a comprehensive Referral Partner Agreement typically includes several other terms and clauses tailored to the specific needs of the parties involved. The legal implications of such an agreement can be far-reaching and complex, potentially affecting various aspects of your business operations and liabilities. Given the intricacies involved and the potential impact on your business, it would be highly advisable to consult with a lawyer who specializes in business contracts. They can provide a thorough analysis of your specific situation, ensure all necessary terms are included, and help you navigate any potential risks or liabilities that may not be immediately apparent. Would you like to discuss how we could work together to draft a Referral Partner Agreement that comprehensively protects your interests?
