Need a liquor license asap in portland, or around. Maine.

It is a multi-step process to obtain a liquor license in Portland, Maine. You must obtain approval from the City, after first obtaining approval from the Code Enforcement Officer, Public Services, Fire, Health Services, Treasury, and Police. You may also need to create an LLC or other business entity, register with the Secretary of State, obtain an EIN, among other things. I can assist at my normal hourly rate of $200, and would require a $5000 legal advance, payable through Contracts Counsel to assist. The fee Contracts Counsel charges is nonrefundable, otherwise, itemized invoicing will be periodically provided, and any unearned fees will be reimbursed to the client at the end of the project.

Can an consultant to a company be asked to sign a Non-Compete Agreement when that company is being acquired by another company.

My husband is a consultant for a company that is being acquired by another company. The acquiring company no longer needs his services. The acquiring company is asking my husband to sign a non-compete for nothing in return. They stated that he is not an employee of the company being acquired, so financial consideration is not on the table. The acquiring company is in Maryland. The company being acquired is in Maine. Is this legal?

Stock purchase agreement and board approval?

I am a potential investor in a small business. The business is offering to sell me a portion of their stock, and I have received a Stock Purchase Agreement. The Agreement does not indicate whether the sale has been approved by the board of directors of the company. I need to know if board approval is necessary in order for the Agreement to be valid.

Not necessarily. It depends on the By-Laws and Shareholder Agreements who has authority to issue stock. I would recommend a rep and warranty that they have the authority and all appropriate Approvals have been secured.

Want to learn more about the agreement that is being presented to me. There is a 'strike price' that I am suppose to pay?

The strike price is defined as the price that the employee can exercise his/her options at. For example, if the strike price is $1.00, at the point the 100s options have vested, the aggregate amount owed to exercise would be $100.00

I understand that safety policies in the workplace are important for the protection of both employees and employers, but I am not sure of the specific details of the safety policy included in my employment contract. I would like to know what safety policies are included in the contract in order to ensure that I have a safe working environment.
