It is a multi-step process to obtain a liquor license in Portland, Maine. You must obtain approval from the City, after first obtaining approval from the Code Enforcement Officer, Public Services, Fire, Health Services, Treasury, and Police. You may also need to create an LLC or other business entity, register with the Secretary of State, obtain an EIN, among other things. I can assist at my normal hourly rate of $200, and would require a $5000 legal advance, payable through Contracts Counsel to assist. The fee Contracts Counsel charges is nonrefundable, otherwise, itemized invoicing will be periodically provided, and any unearned fees will be reimbursed to the client at the end of the project.

In New York, liquor licenses are non-transferable, meaning they are issued specifically to the current owner and premises and cannot be directly transferred to a new owner. Hello! My name is Dolan and I'm happy to help. As a restaurant owner in California planning to move within the same city, you can transfer your existing liquor license to the new spot through a "premises-to-premises" transfer. This involves applying to the California Department of ABC for approval. The ABC will check both your qualifications and whether the new location fits their standards. Keep in mind, that applying doesn't guarantee approval; the ABC might deny the transfer if the new place doesn't meet their criteria. To get started, you'll need to submit specific forms and fees to your local ABC district office. The process usually includes posting a public notice at the new location for 30 calendar days and possibly informing nearby residents, depending on local rules. Typically, the whole process takes about 55 to 65 days, but it can be longer if there are protests or other issues. Remember, during the transfer process, you must follow all ABC regulations, including paying any necessary renewal fees to keep your license active. If your current place is closed for 15 consecutive days, you're required to surrender your license to the ABC within that time. Can an consultant to a company be asked to sign a Non-Compete Agreement when that company is being acquired by another company.

My husband is a consultant for a company that is being acquired by another company. The acquiring company no longer needs his services. The acquiring company is asking my husband to sign a non-compete for nothing in return. They stated that he is not an employee of the company being acquired, so financial consideration is not on the table. The acquiring company is in Maryland. The company being acquired is in Maine. Is this legal?

Hi there, Generally speaking, "limited liability" of LLC means that no member will be personally liable for the LLC's obligations in excess of the amount that he or she contributed, or is otherwise obligated to contribute, to the LLC. In order to enjoy this liability protection, you want to make sure that you respect the boundaries and formalities of your business by: 1. Keeping your business capitalized enough to carry out its normal business functions and meet its reasonably anticipated obligations; 2. Keeping your business assets separate from your personal assets (like not using company truck to run personal errands); 3. Having separate bank accounts; 4. and following corporate formalities like keeping records of meetings, documenting important business actions, and having an operating agreement.
