Can an consultant to a company be asked to sign a Non-Compete Agreement when that company is being acquired by another company.
My husband is a consultant for a company that is being acquired by another company. The acquiring company no longer needs his services. The acquiring company is asking my husband to sign a non-compete for nothing in return. They stated that he is not an employee of the company being acquired, so financial consideration is not on the table. The acquiring company is in Maryland. The company being acquired is in Maine. Is this legal?

Can a corporation amend its bylaws without a shareholder vote?
I am a shareholder in a small corporation and recently, the board of directors proposed several amendments to the company's bylaws, including changes to the voting rights and director appointment process. However, there was no mention of a shareholder vote in the proposed amendments, and I am concerned that the board may be trying to bypass our input and make unilateral decisions. I would like to know if it is legally permissible for a corporation to amend its bylaws without a shareholder vote and what my rights as a shareholder are in this situation.

Hello! My name is Dolan and I am sorry to hear about this situation. So this depends on a few things: 1. The bylaws generally are what govern. If the bylaws authorize this, then it's legal for the corporation's board members to do so. 2. This also depends on the type of shareholders. "Class A" shareholders typically are able to make decisions to amend the bylaws without lower (Class B or lower) shareholders having a say. For instance, Meta can change its bylaws without the consent of common shareholders. 3. Nevertheless, as a shareholder, you have the right to inspect the corporation's governing documents, financial records, and meeting minutes to understand the board's authority and intentions. You can request access to these documents under state law. 4. If the board is acting outside its authority or attempting to make changes that require shareholder approval, you may be able to challenge the amendments. This could involve raising objections at a shareholder meeting, contacting other shareholders to address the issue collectively, or pursuing legal action if necessary. I am looking to form a LLC with two other partners and we need to understand how profits will be shared between us. We have already agreed on certain terms, such as the amount of capital we will each contribute, but we need help understanding how profits should be distributed in accordance with LLC laws.

Hello: I understand you are forming an LLC and want to know how to distribute profits. Generally, members would share profits based on their percent ownership. For example, if you own 50% of the LLC, you get 50% of the profits. Likewise, with three members, it could be 33.33% each for example. However, LLC's are very flexibile and the distribution of profits and percentage is not set in stone. The members can decide how to distribute profits among them, usually set forth in the Operating Agreement.

Business formation is public record in most states in the US. Delaware, Nevada, New Mexico, and Wyoming are exceptions. If you are looking for data on newly formed companies you can obtain the same from the Secretary of State. There are also many companies who offer data lists for sale. If you need a data transfer agreement we can assist with that as well.
