In my thirteen years of practice, I've had the opportunity to argue cases in state, federal, and tribal courts; in subjects as diverse as gaming, land tenure, water rights, treaty rights, finance, employment, criminal defense, conflict of laws, and tort (among others). But the real value I brought my clients came through avoiding litigation, fostering relationships, and developing long-term strategies.

Consulting Agreement

Florida

Asked on Nov 23, 2021

Who reviews consulting agreements?

Who can I get to review a 5 page CONSULTING AGREEMENT that a potential client has sent me? I am an independent consultant, specializing in website design and online marketing. A prospective client has sent me a 'fully loaded' CONSULTING AGREEMENT. The contract is more detailed than I have dealt with before, so I feel need legal support to review it and protect my interests.

Website Agreement

Texas

Asked on Jan 27, 2025

Is it necessary for my website to have a Terms of Service agreement?

I am in the process of launching a new website that will offer services and allow users to create accounts. I have heard that having a Terms of Service agreement is important to protect my website and outline the rights and responsibilities of users, but I am unsure if it is legally necessary and what specific elements it should include.

Jennifer B.

Answered Jan 28, 2025

Every website that offers services and lets users create accounts needs Terms of Service - it's like having a contract with your users. It's crucial, especially in Texas. Recent Texas court cases have made it clear: you need to make sure users actually see and agree to your terms. The StubHub case is a perfect example. The court looked at whether users had fair notice of the terms and actively showed they agreed to them. The best way to do this is with what we call a "clickwrap" agreement - that's where users have to click "I agree" during sign-up. Your Terms of Service should include: ACCEPTANCE: Clear instructions on how users accept the terms - that "I agree" button. Then, spell out exactly what services you're providing and what users can and can't do on your site. PRIVACY POLICY: You'll also need a privacy policy section that explains how you handle user data. Depending upon your services and the nature of the data you are collecting and from where your users are arriving, you may need separate detailed privacy policy and a cookie policy. ADDITIONAL: You'll want sections on how disputes get resolved (like arbitration), limits on your liability, and your right to update the terms later. Getting this right protects you legally and sets clear expectations with your users.

Service Contract

New York

Asked on Dec 16, 2021

Do I need to sign every page of a contract?

I am a legal intern and I have a query. Last week I recieved two Service Agreement contracts from two different content agencies. My company has decided to work with them and I was asked by a colleague today that is it important to get signatures on all the pages by both the parties or if they sign the last page is that enough? I was confused and I said get the signatures on the last page of the agreement that will be fine. Today I recieved both the agreements from the agencies and one agency has signed the last page and the other one has signed all the pages.

Jane C.

Answered Dec 24, 2021

An attorney would have to review the agreements.

Multi-Member LLC

Ohio

Asked on Jun 22, 2024

Can you explain the process and requirements for forming a multi-member LLC?

I am currently in the process of starting a new business with two partners, and we have decided to form a multi-member LLC. We have a general understanding of what an LLC is and how it offers liability protection, but we are unsure about the specific steps and requirements involved in forming a multi-member LLC. We would like to know about the necessary documents, filing procedures, and any other legal considerations that we should be aware of in order to properly establish our LLC and protect our interests.

Paul S.

Answered Jul 12, 2024

You will need to file articles of organization with the Secretary of State of the state where you want to form the LLC. This is relatively easy. More importantly, because you will have 2 or more members, you should have an operating agreement. This is a contract between the members, detailing who the members are, what percentages of the LLC each member owns, how the LLC will be managed, how profits and losses will be allocated, and how distributions will be allocated. The operating agreement should also put restrictions on voluntary and involuntary (think divorce, death, bankruptcy) transfers of ownership, so that you don't suddenly end up with a new member that you don't want. The operating agreement is not filed with the state. You should have an experienced lawyer help you with the operating agreement, as it can be pretty complex.

LLC

Florida

Asked on Jul 16, 2025

What are the steps involved in forming an LLC?

I am interested in starting my own business and have decided that forming a limited liability company (LLC) is the best option for me. However, I am unsure about the specific steps involved in the LLC formation process, such as filing the necessary paperwork, obtaining an employer identification number (EIN), and drafting an operating agreement. I would like to understand the entire process in order to ensure that I comply with all legal requirements and set up my LLC properly.

Ralph S.

Answered Aug 1, 2025

An attorney on this site can help you with all the steps, some offer it a a package. You first need to decide on the membership structure (who owns what). File Articles of Organization with the State, obtain your ein, draft your operating agreement (have a discussion re who does what), prepare your members resolutions/ have a meeting- to issue your membership interests and appoint the person to open your bank account. Verify what subsequent steps you need to take in your county/city because these are different; verify if your kind of activity requires registration with state and or county. With regard to address and documents, remember that Florida requires a physical address (no PO Box) and that banks have been more and more difficult about using virtual addresses in recent months.
