The difference between Maintenance and Warranty on an RV

We have a contract with a couple that we are leasing to own/rent to own a fifth wheel camper. In the contract it states that we are responsible for all maintenance for the term of the contract. My definition of maintenance is repairs like flooring, hinges, paint, etc. Things we can fix our self's. The issue is the RV has electrical issues, AC going out, Awning separating from RV. These issues require a dealer to fix. Way beyond what we can do. I need to know how to proceed?

I'm an Oklahoma attorney and not an Idaho attorney, so I am simply providing information about the general theory of contracts. For a more detailed response, you need to talk to an attorney in the place where the contract states for its choice of law. If your contract does not state a choice of law, it is possible the place where you live is not actually the law that applies to the contract. The law of the place where the buyers are located might apply. Typically, the words in a contract are to be interpreted in their usual and customary way and not in any technical way, unless the contract indicates otherwise. So, the dictionary meaning of "maintenance" may well be applied. I see two definitions in Merriam-Webster, both of which are not helpful to you because they are broad, not distinguishing between "maintenance" stuff like replacing brake shoes in a trailer's electric drum brake system and fixing or replacing broken things like an A/C unit that simply died after running non-stop during a heat wave. There may be some case law on this in the correct jurisdiction. Your really need to talk to a local attorney and show them the contract you have.

Can I terminate a parking agreement if the landlord has breached the terms?

I entered into a parking agreement with my landlord, which stated that I would have exclusive access to a designated parking spot for a monthly fee. However, the landlord has repeatedly allowed other tenants to use my spot, making it unavailable to me on several occasions. I have brought this issue to the landlord's attention multiple times, but they have failed to rectify the situation. Can I terminate the parking agreement due to the landlord's breach of the terms?

Reviewing a business contract: cost?

I am starting a new business and need to enter into a contract with a supplier. I have been provided with a contract to review, but I am unsure of the associated costs. I am looking for legal advice on the cost of reviewing the contract and whether there are any potential pitfalls or areas of risk that I should be aware of before signing.

The cost will depend on several factors: - Length of the document - Quality of the contract (if it's poorly drafted then it will require more work to revise) - Complexity of the transaction (the more complex, the more time is needed to understand it and solve problems) - Your leverage vs. the supplier's (if you don't much leverage, then the contract will require a lighter touch as far as revisions) The best course of action is to do an initial consultation with your lawyer of choice to discuss the above. After that, the lawyer will be able to give you a sense of the cost, and make a proposal on either an hourly rate or a flat fee.

Can a contractor agreement be modified without written consent?

I recently entered into a contractor agreement with a company to provide my services for a specific project, but the company has now informed me that they want to make changes to the terms of the agreement, including the scope of work and payment terms, without obtaining my written consent. I am unsure if they have the legal right to modify the agreement without my agreement and would like to understand my rights in this situation.

Without seeing the terms in question, this is a general contracts answer: 1. Does the contract itself specify how it can be modified, changed or amended? If so, the contract itself should tell you whether this is okay. 2. If the contract doesn't state how, it can usually be modified, changed or amended, if you both have "mutual" agreement to change any terms, and in writing. 3. If they are trying to change it on their side only, and it is not permitted in the original agreement, this may not be allowed and depending on the terms to be changed, and to what extent, it may be some level of breach. Again, I do not have the contract, but I understand the terms to be changed include scope and payment, which may be enough of a change from the original agreement to potentially create a new one to substitute- with your consent. Can a SaaS reseller agreement be terminated by the software provider without cause?

Can a SaaS reseller agreement be terminated by the software provider without cause? I am a software reseller who has entered into a reseller agreement with a SaaS provider. The agreement does not specify any termination clauses or conditions, but it also does not explicitly state that the software provider can terminate the agreement without cause. Recently, the software provider informed me that they will be terminating the agreement without providing any specific reason. I am concerned about the potential impact on my business and want to understand if the software provider has the legal right to terminate the agreement without cause, and if so, what my options are moving forward.

Hi. The answer is entirely dependent on the agreement’s language. Without seeing the contract, it’s impossible to give you a complete answer. Generally, an agreement can only be terminated by it’s own conditions, and absent a specific termination clause, it can usually be terminated either due to a breach of the agreement or by suing for breach and asking for termination as the result (so-called “equitable relief”). But with a reseller agreement, there are lots of new variables, as you’re not a user of the product… questions about to who and when you can resell., specific product versions, support provisions, etc. And there’s also a general prohibition against contracts of servitude, requiring an indefinite provision of personal services (which a SaaS contract could be argued to be). So again, the contract language is critical.
