My practice has involved a wide range of legal matters from commercial real estate, finance and international business transactions to litigation matters including commercial disputes, real estate, employment, and medical malpractice. Proficient in Spanish, I graduated from the University of Kentucky College of Law, the Patterson School of Diplomacy and International Commerce, and the University of Southern California. Prior to my legal career, I sought diverse professional experiences. After graduating from college, I orchestrated my own volunteering experience in southern Peru with a small non-profit organization. Later I gained valuable professional experience as part of a U.S. Senate campaign, and after that I joined the public policy team at Greater Louisville, Inc., Louisville's Chamber of Commerce affiliate. Prior to law school, I embarked on a month long excursion with the Northern Outdoor Leadership School in Alaska, which gave me a new found appreciation for sustainability.

Contractual Agreement
Michigan
Me and my friends are planning to start a business.but using using my Friend's place..so what type of contract should I look into??
Can I draft my own contract and take it to police to stamp it after reaching my agreement with my friend,?
David H.
In most cases, contracts only need to be signed by the parties to the contract. The contract should have the key information related t the parties signing and the terms and length of the agreement to name a few clauses that need to be included. There are some contracts that need to be notarized. The police may have a notary, but your bank may also. There are many components to your question - ownership of the business, who does what in the business, business formation, is there a need for insurance to cover risks, and other items. There are tools online to help or you can use an attorney. With an attorney you will get specific assistance for your business, online it may be more generalized information you find.

Are you talking about a UCC lien? See 810 ILCS 5/9-501 et seq. for some information about fraudulent filings. The Secretary of State also has a form for an Affidavit of Fraudulent Record which you could file. Additionally, you could file a termination which is also available with the Secretary of State.

Operating Agreement
New York
What should be included in an operating agreement for a small business?
I am in the process of starting a small business with a partner and we are in the early stages of drafting an operating agreement. We want to ensure that all aspects of our business are properly addressed and that our rights, responsibilities, and decision-making processes are clearly defined. We are seeking guidance on what specific provisions should be included in the operating agreement to protect both of our interests and minimize potential conflicts in the future.
Damien B.
Hello! Here's some guidance on specific provisions you should consider: Business & Ownership Structure: - Name and Location: Make sure to include the official business name and the state where your LLC is formed. - Membership: List all members of the LLC and their ownership percentages. - Management Structure: Clearly state whether the LLC will be member-managed (all members participate in daily operations) or manager-managed (designated members handle day-to-day operations). Financial Management: - Capital Contributions: Provide details on the initial capital contributions from each member and how future contributions will be handled. - Profit & Loss Sharing: Outline how profits and losses will be distributed among members, taking into account ownership percentages or other factors. - Distributions: Establish rules for how and when members can receive distributions from the business. - Accounting Practices: Define the accounting method used (cash or accrual) and how financial records will be maintained. Decision-Making & Operations: - Voting Rights: Specify voting rights for members, including majority or unanimous voting requirements for different decisions (e.g., admitting new members, taking on debt). - Meetings: Determine the frequency and procedures for member meetings, including how notices will be sent and how votes will be conducted. - Management Duties: If the LLC is manager-managed, clearly define the roles and responsibilities of the managers. Dissolution & Buyouts: - Dissolution Events: List the events that could trigger the dissolution of the LLC (e.g., member death, bankruptcy). - Buyout Provisions: Establish a process for one member to buy out another's interest in the LLC, including valuation methods and potential triggers (e.g., retirement, disability). - Dispute Resolution: Specify a process for resolving disagreements between members, such as mediation or arbitration. Additional Considerations: - Non-Compete Agreements: Consider including a non-compete clause to prevent members from competing with the business after leaving. - Term of Agreement: Decide whether the operating agreement will have a definite term or be perpetual. Seeking Legal Help: While this list provides a starting point, it is highly recommended to consult with a business attorney to customize the operating agreement according to your specific business and state regulations. They can ensure the agreement is legally sound and adequately protects your interests. By incorporating these provisions and seeking legal advice, you and your partner can create a comprehensive operating agreement that minimizes future conflicts and establishes a strong foundation for your small business. Business Partnership Agreement

Business partnership agreement for short projects?
I am looking to start a business partnership with another individual. We are both interested in working together on short-term projects, but we want to ensure that our partnership is legally binding and properly structured to protect both of our interests. We have discussed the details of our agreement, but I would like to have a lawyer review the agreement to ensure that it is legally sound.

In a partnership, each of you is liable for all debts of the partnership. Your personal assets are at risk if anything goes wrong. You should set up as a limited liability company. That way, only the LLC can be liable, and you will not be personally liable. To se up an LLC, you need a filing with the state, an Operating Agreement, and an Employer Identification Number from the IRS. The Operation Agreement is, in effect, a partnership agreement. I offer flat fee packages for these services. Thx. JV

I need guidance on managing such a large sum of money. I have retired from the USMC/Customs & Border Protectrion, and I am getting Social Security also. I am receiving $114,000 @ year before taxes in pension funds. I live with a disabled 46 year old daughter as her caretaker. I am paying mortgage on my home, and I have a large student loan requiring monthly payments.

Congratulations on your win! To answer your question simply, you'll need a lawyer as one part of a larger team which would include an accountant, financial advisor. and insurance agent. Your lawyer should be versed n taxes, estate planning, trust formation, and asset protection.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
