Articles of Organization

Missouri

Asked on May 13, 2022

how much does it cost to create a real state single member LLC?

I own a duplex that i rent in columbia MO, and i want to create an LLC

Michael V.

Answered May 17, 2022

The state filing fee for an LLC's Articles of Organization is about $105. To draft and prepare an operating agreement would cost ~ $500 depending on who you hire. The cost of advisory services (like taxes) after LLC formation will be a little costlier depending on the complexities of the business and its owner.

C Corp

Ohio

Asked on Jul 11, 2024

What are the steps and requirements for forming a C Corporation?

I am currently in the process of starting my own business and I have decided to structure it as a C Corporation. I have done some initial research on C Corp formation, but I am still unsure about the specific steps and requirements involved. I would like to consult with a lawyer to get a clear understanding of the process, including any necessary documents, fees, and legal obligations that come with forming a C Corporation. This information will help me ensure that I am following the correct procedures and meeting all the legal requirements in establishing my business as a C Corporation.

Paul S.

Answered Jul 12, 2024

You form a corporation by filing articles of incorporation with the Secretary of State. Then you will need initial board resolutions to authorize various post-incorporation organizational matters, as well as bylaws. You will also need to issue stock to the founders. This is the kind of project I have handled for dozens of clients.

Promissory Note

California

Asked on Oct 4, 2022

What happens to convertible note if startup fails?

I have a startup and am looking to raise money from investors. If we fail, are we going to be liable for anything if we raise money on a convertible note?

Michael M.

Answered Oct 7, 2022

Typically, if the business fails, the note can then not be converted or repaid. Unless you have personally guaranteed the obligation which would be unusual, the recourse would be against the entity itself.

LLC

Illinois

Asked on Oct 27, 2023

What documents are needed for LLC formation?

I am looking to form a Limited Liability Company (LLC) for a business venture that I am starting. I have done some research into LLCs and have a basic understanding of the process, but I am looking for more information and guidance on the specific documents that are required for the formation of an LLC.

Frank V.

Answered Nov 10, 2023

At a bare minimum, an LLC requires: 1. Articles of Organization. (These must be filed with the secretary of state.) 2. An Operating Agreement (This document lays out how the LLC is to be managed and maintained.) 3. An Employee Identification Number from the IRS. (Needed to open a bank account, file taxes or to pay employees.) Please feel free to reach out if you have any further questions. Frank Venis

S Corp

North Carolina

Asked on Aug 9, 2023

S corp and liquidation preferences?

I am a business owner who recently incorporated as an S corporation. I am interested in learning more about liquidation preferences as I am considering bringing on additional investors to help fund the business. I want to understand the implications of liquidation preferences on my ownership and the rights of the new investors.

Nicholas M.

Answered Aug 11, 2023

An S-Corp has some limitations here (such as no more than 100 share holders and only one class of stock). Depending on the control that you seek to retain in your business, you may want to transition to a full C-Corp, restructure preferred (voting) shares from equity shares, and manage your business governance (Board of Directors, Officers, Resolutions, etc.) in a way big investors will find compelling.
