Most of my career has been as in-house counsel for technology companies. My responsibilities included managing all vendor/procurement contracts and compliance, customer/partner/reseller contracts and compliance, data security/privacy compliance and incident responses, HR/employment issues, and legal operations. I am very comfortable negotiating Commercial Contracts, Vendor Agreements, and Procurement Contracts for goods, services, and licensing, as well as addressing Employment & Labor, Intellectual Property, and Data Privacy issues and compliance. I specialized and have a certificate in IP in law school and continued to develop in that area as in-house counsel for Interactive Intelligence, Genesys, which are unified communication companies, and KAR Global in the automobile digital services lines of business.
John B.
I am an attorney with over 13 years experience licensed in both Illinois and Indiana. I spent the early part of my career as a civil litigation attorney. Eventually, I moved into an in-house role, specifically as general counsel, to help companies avoid the pains of litigation. In doing so, I gained significant experience in executive leadership, corporate governance, risk management and cybersecurity/privacy. I bring this wealth of experience to my client engagements to not only resolve the immediate issue, but help implement lasting improvements in practices to avoid similar problems going forward.

Employment Contract
Florida
What's the safety policy in an employment contract?
I recently accepted a job offer from a new employer and as part of the employment contract, I need to understand the safety policy in the workplace. I understand that safety policies in the workplace are important for the protection of both employees and employers, but I am not sure of the specific details of the safety policy included in my employment contract. I would like to know what safety policies are included in the contract in order to ensure that I have a safe working environment.

Without seeing the contract, there is no way of knowing.

Liquor License
New York
Can a liquor license be transferred to a new owner when purchasing an existing business?
I am considering purchasing an existing restaurant that currently holds a liquor license, but I am unsure if the liquor license can be transferred to me as the new owner. I have done some research and found conflicting information, with some sources stating that liquor licenses are non-transferable and others suggesting that the transfer is possible under certain conditions. I would like to understand the legal requirements and process for transferring a liquor license to a new owner in order to make an informed decision about purchasing the business.
Damien B.
Hello. This is Damien Bosoc, Esq. I have a law office in Long Island City across from Manhattan. In New York, liquor licenses are non-transferable, meaning they are issued specifically to the current owner and premises and cannot be directly transferred to a new owner. However, there is a process that allows prospective buyers to obtain a new liquor license for the business they are purchasing. While liquor licenses in New York are not directly transferable, there is an established process for new owners to obtain a license when purchasing an existing licensed business. Following the NYSLA's requirements carefully is crucial to ensure a smooth transition and uninterrupted business operations. Feel free to reach out if you would like a consultation.

Noncompete Agreement
Florida
Noncompete agreement and business partners?
I am a business owner who has recently acquired a new partner. We are in the process of drafting a Noncompete Agreement to ensure that neither of us will compete against each other in the same market. We are looking for advice on what should be included in the agreement and how it should be enforced.
Daniel D.
The one thing to make sure with noncompete agreements is that it is reasonable in terms of duration and the area you cannot compete in. Courts use a reasonableness test to determine whether a noncompete agreement is valid. If provisions are deemed to be unreasonable and fail the test, they could be altered or struck out of the agreement.

Revenue Sharing Agreement
New York
Can you explain the key provisions and legal considerations of a revenue sharing agreement?
I am currently in discussions with a potential business partner to establish a revenue sharing agreement for a new online platform we are developing together. While I have a basic understanding of revenue sharing agreements, I am unsure about the specific provisions and legal considerations that need to be included in the agreement to protect both parties' interests. I want to ensure that the agreement clearly outlines how revenue will be shared, what expenses will be deducted, and how disputes will be resolved, among other key provisions. I would greatly appreciate your guidance in understanding the legal aspects of revenue sharing agreements and any potential pitfalls that I should be aware of before finalizing the agreement with my business partner.
Damien B.
Hello! My name is Damien Bosco, Esq. My law office is located in Long Island City across from Manhattan. Some key provisions in a revenue-sharing agreement would be the following: - Purpose and Scope - Revenue Sharing Terms - Expense Deductions - Responsibilities of Each Party - Audit Rights - Dispute Resolution - Confidentiality and Non-Compete - Termination and Exit Strategy - Liability and Indemnification - Choice of Law Clearly distinguish between revenue-sharing arrangements and equity stakes, as they have different legal and tax implications. Also, address ownership of any intellectual property developed during the partnership, which can become a significant source of disputes. Feel free to reach out if you want a consultation or help drafting the agreement.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
