Business Partnership Agreement
North Carolina
Can I withdraw from a business partnership agreement?
I am currently in a business partnership agreement with a colleague, and I am considering withdrawing from the partnership. We have been in the agreement for over a year and our goals and objectives have changed. I am looking for legal advice on the steps I need to take to withdraw from the agreement, and the potential legal implications of doing so.
N'kia N.
Below is a general overview of how the process of a partner withdrawing from a partnership commonly plays out: The withdrawing partner gives written notice of withdrawal. The parties obtain business valuations to determine payout terms. The parties execute some type of withdrawal or buyout agreement that states rights, responsibilities, and restrictions (such as non-competition and non-disclosure/confidentiality), and other important terms of the deal. A partner who is considering withdrawing from the partnership should consider consulting with a knowledgeable attorney who can review the Partnership Agreement and the terms of a proposed withdrawal or buyout agreement, and either guide the partner through handling the process without representation or represent the partner through the withdrawal. Additionally, the partner might consider consulting with a tax professional regarding tax liabilities. [It is often beneficial for the partner to seek assistance from an independent attorney or tax professional, rather than one who represents the partnership or another partner.]

Operating Agreement
Pennsylvania
Can you explain and help with the process of dividing the LLC into 99% and 1%?
I would like to make my dad a 1% owner in the company In order to have an LLC in PA under the age of 18. Me being 17, I would like to create an LLC so that I can function and be fully legal and transparent to the state of PA. I need more specific 1 on 1 guidance on how I can fully make this possible. Any information helps, thank you.
Ryan W.
Hi. This is a difficult question in terms of application and practicality. There is nothing in the LLC laws that prevent a minor from owning an LLC in Pennsylvania. However, the minor may not have capacity to sign a binding agreement such as the documents necessary to create an LLC. More than likely an option to consider may be to have a parent form the LLC and grant the minor an ownership interest through an operating agreement. However, each situation may be different and I urge you to contact legal counsel to discuss your specific circumstances.

Liquor License
New York
Can a liquor license be transferred to a new owner when purchasing an existing business?
I am considering purchasing an existing restaurant that currently holds a liquor license, but I am unsure if the liquor license can be transferred to me as the new owner. I have done some research and found conflicting information, with some sources stating that liquor licenses are non-transferable and others suggesting that the transfer is possible under certain conditions. I would like to understand the legal requirements and process for transferring a liquor license to a new owner in order to make an informed decision about purchasing the business.
Damien B.
Hello. This is Damien Bosoc, Esq. I have a law office in Long Island City across from Manhattan. In New York, liquor licenses are non-transferable, meaning they are issued specifically to the current owner and premises and cannot be directly transferred to a new owner. However, there is a process that allows prospective buyers to obtain a new liquor license for the business they are purchasing. While liquor licenses in New York are not directly transferable, there is an established process for new owners to obtain a license when purchasing an existing licensed business. Following the NYSLA's requirements carefully is crucial to ensure a smooth transition and uninterrupted business operations. Feel free to reach out if you would like a consultation.
