I have heard conflicting information and want to understand the specific regulations and requirements that apply to H-1B visa holders who wish to start a business in the US.

The short answer is: likely yes. The issue of your visa and owning a business are mutually exclusive. HOWEVER, you H1B visa is sponsored by your current employer, if you leave that employment without another visa, you have to leave the country. I HIGHLY recommend you speak with an immigration AND a business attorney to determine how the two issues may conflic, or how you can thread the needle so as to avoid issues on both matters. Can a corporation amend its bylaws without a shareholder vote?

I am a shareholder in a small corporation and recently, the board of directors proposed several amendments to the company's bylaws, including changes to the voting rights and director appointment process. However, there was no mention of a shareholder vote in the proposed amendments, and I am concerned that the board may be trying to bypass our input and make unilateral decisions. I would like to know if it is legally permissible for a corporation to amend its bylaws without a shareholder vote and what my rights as a shareholder are in this situation.

Hello! My name is Dolan and I am sorry to hear about this situation. So this depends on a few things: 1. The bylaws generally are what govern. If the bylaws authorize this, then it's legal for the corporation's board members to do so. 2. This also depends on the type of shareholders. "Class A" shareholders typically are able to make decisions to amend the bylaws without lower (Class B or lower) shareholders having a say. For instance, Meta can change its bylaws without the consent of common shareholders. 3. Nevertheless, as a shareholder, you have the right to inspect the corporation's governing documents, financial records, and meeting minutes to understand the board's authority and intentions. You can request access to these documents under state law. 4. If the board is acting outside its authority or attempting to make changes that require shareholder approval, you may be able to challenge the amendments. This could involve raising objections at a shareholder meeting, contacting other shareholders to address the issue collectively, or pursuing legal action if necessary. Can a multi-member LLC operating agreement be amended without the unanimous consent of all members?

I am a member of a multi-member LLC and we currently have an operating agreement in place that was agreed upon by all members at the time of formation. However, there have been changes in the business and we need to make some amendments to the operating agreement to reflect these changes. One of the members is now refusing to give their consent to the proposed amendments, claiming that unanimous consent is required. I would like to know if it is possible to amend the operating agreement without the unanimous consent of all members, and if so, what steps need to be taken to do so legally.

Hello! This is Attorney Damien Bosco. My law office is in Forest Hills, Queens County, New York City. My practice covers the New York City metropolitan area and Long Island. In some situations, I also handle matters throughout New York State. Under New York law, the requirements for amending an LLC's operating agreement are generally governed by the terms specified in the operating agreement. The operating agreement typically outlines how amendments can be made. This could require: - Unanimous Consent: All members must agree to any changes. - Majority or Supermajority Vote: A specified percentage (e.g., a majority or supermajority) of members' votes is sufficient to approve amendments. - Specific Procedures: Specific procedures or conditions under which amendments can be proposed and approved. If the operating agreement is silent on the amendment process, New York law generally defaults to requiring a majority vote for decisions unless otherwise stated. However, case law research may be necessary to confirm that a majority vote suffices for amending an operating agreement when the agreement is silent on the subject, especially if it adversely affects a minority member. In other words, although a majority vote to amend may be permissible, minority members do have some rights. A squeeze-out, also known as a freeze-out, is when a majority member of a limited liability company (LLC) takes actions to reduce or eliminate a minority member's involvement in the business It may be best for you to have a legal consultation with an attorney about this.

Can an LLC operating agreement be modified without the consent of all members? I am a member of an LLC and we have been operating under a certain agreement for several years. However, there have been some changes in our business and it is necessary to make amendments to the operating agreement. One of the members is reluctant to agree to the changes, but the majority of us believe it is in the best interest of the company. We want to know if it is possible to modify the operating agreement without the unanimous consent of all members, and if so, what steps are required to do so legally.

It primarily depends on what your operating agreement says regarding consent for making changes. That will control the process. If it is just changes to the operating agreement, it does not need to be reported to the Secretary of State. Changes to the Articles of Organization would need to be reported, however.
