Can a restaurant owner transfer their liquor license to a new location?

I am a restaurant owner and I am considering relocating my business to a new location within the same city. I currently have a liquor license for my existing establishment and I would like to know if it is possible to transfer this license to my new location, or if I would need to go through the application process again. I have invested a significant amount of time and money in obtaining the current license and I want to ensure that I can continue serving alcohol at my new establishment without any legal issues or delays.

Hello! My name is Dolan and I'm happy to help. As a restaurant owner in California planning to move within the same city, you can transfer your existing liquor license to the new spot through a "premises-to-premises" transfer. This involves applying to the California Department of ABC for approval. The ABC will check both your qualifications and whether the new location fits their standards. Keep in mind, that applying doesn't guarantee approval; the ABC might deny the transfer if the new place doesn't meet their criteria. To get started, you'll need to submit specific forms and fees to your local ABC district office. The process usually includes posting a public notice at the new location for 30 calendar days and possibly informing nearby residents, depending on local rules. Typically, the whole process takes about 55 to 65 days, but it can be longer if there are protests or other issues. Remember, during the transfer process, you must follow all ABC regulations, including paying any necessary renewal fees to keep your license active. If your current place is closed for 15 consecutive days, you're required to surrender your license to the ABC within that time. However, during the surrender period, which can last up to a year, you can transfer the license to another location or person, as long as all renewal fees are paid. I hope this helps! Thanks again! When to send a Cease and Desist Letter?

I am a small business owner (retailer), and had a long time staff member (Michael) develop a drinking problem. He felt comfortable enough to come to work intoxicated on a few occasions putting the rest of the staff and my business at risk. He was a supporting manager and had keys to the store. One day he had to be driven home from work because he was too inebriated. Another staff member who drove him to his home gave him a couple of days to come clean to me before she would tell me what happened. He never told me even though i gave him every opportunity to do so. So I had a meeting with him and explained that I was disappointed and wanted to help him, but my business and family had to be protected as well so I took his keys and title away while keeping him employed and at the same pay rate. I did this in hopes that he would get some help and didn't have to worry about being unemployed. Then Covid hit. Had to shut down for a little while. I kept in communication with my team (including Michael) throughout. Everyone responded except Michael. When it was time to re-open I asked everyone to respond letting me know if they were coming back to work. Everyone responded except Michael. Never heard from him again. So, I terminated him under "job abandonment". He then went to work at another local shop, and so I was happy for him and went on with my life and business. A couple of weeks ago I started to get some messages from mutual friends asking me what Michael was posting about on Facebook and other platforms and it turns out he has been posting derogatory comments (all lies) about how we treated him horribly and these could affect my business. None of our staff members can see these posts directly because he has blocked us all. We have, however, been receiving screenshots from mutual friends. Again, this went down over two years ago! I kept him employed I paid him through the pandemic including doing his unemployment paperwork weekly. I didn't fire him. He chose not to come back to work I demoted him and kept him at the same pay rate I tried every way that I could to help him find help I simply want this to stop as I did nothing wrong and did much more than any other employer would have. His parents are enablers and are probably behind this.

If the Michael has been posting false FACTUAL statements about you or your company, despite his knowledge that they are false, and reputational harm could occur, you may have a claim against him for defamation of character. If, on the other hand, he has been posting negative OPINIONS about you or your company, that is unfortunately not illegal and therefore a cease and desist letter would have no "teeth."

Consulting with a qualified attorney is crucial to tailor the agreement to your specific needs. Here are some key areas to focus on: 1. Stock Description: Clearly define the shares being purchased, including the class of stock, number of shares, and any special rights or restrictions associated with the shares. You absolutely want to see the full record of the articles of incorporation, bylaws and any possibly existing shareholder agreements that could modify your rights in any way. 2. Purchase Price and Payment Terms: Specify the agreed-upon purchase price, payment structure (e.g., lump sum or installment), and any contingencies or adjustments based on audited financial statements or other factors. 3. The stock sale transaction is approved by the Board of Directors and possibly the Shareholders. You should be able to see the corporate action, either as a Written Consent or a Resolution taken by vote and certified by the corporate Secretary, who is the officer responsible for recording the minutes. 4. Representations and Warranties: Require the seller to make certain representations and warranties regarding the company's financial condition, assets, liabilities, contracts, intellectual property, compliance with laws, and any pending litigation. 5.
