Quick Facts — Data License Agreement Lawyers

What is a Training Data Licensing Agreement Review?

A training data licensing agreement is a legal document signed by a licensor (the data owner) and a licensee (a data user). It provides the licensee with permission to use and process data for the purpose of training machine-learning models.

Since these contracts can be highly technical and complex, you should review them closely so that there are no red flags.

Read the rest of this article to explore what’s included in a training data licensing agreement, how to review it, and when to consult with a lawyer for assistance with an in-depth review.

What is in a Training Data Licensing Agreement?

Some common terms in a training data license agreement include:

  • License grant. This specifies what license is being given to the licensee and how it can be used. It also states that the license will be used for a specific project or purpose.
  • Uses. The agreement clarifies what data tasks can be conducted, such as training an AI model, and what is prohibited, such as reverse engineering.
  • Ownership. Parties agree that the data owner maintains all intellectual property rights.
  • Fees. Payment for the license might be a flat fee or usage-based. This must be detailed for transparency.
  • Confidentiality. The data has to be securely used, handled, and stored so that sensitive information isn’t compromised.
  • Termination. When the contract comes to an end, the data needs to be returned to the owner or deleted.

How Do You Review a Training Data Licensing Agreement?

Reviewing a training data licensing agreement is more than just reading it. It requires looking for specific key terms and concerns, such as the following:

  • Check for clarity about data. You want to know exactly what data will be used and if it will be updated during the contract duration.
  • Know the usage rights. Check that the agreement specifies what data uses are going to be conducted, such as for training specifically or if other tasks will also be included.
  • Understand ownership. You want to ensure that the ownership clause is clear and easy to understand to prevent possible disputes in future.
  • Look at the sublicensing clause. The agreement should specify if the licensee can sublicense the data to third parties. If this is restricted, it should be clearly stated to prevent uncertainty.
  • Flag too broad clauses. If you notice anything in the agreement that’s too general or broad, you should flag it to discuss it with the other party. This can put you at risk, such as in terms of what the data can be used for.
  • Consider contract termination. You should look closely at the termination clauses to ensure they don’t cause you problems. For example, the licensee might have to delete the model, which could result in financial losses.
  • Ensure specific pricing structures. There are things to consider with pricing, such as audit rights that ensure performance is tracked and can be properly compensated.
  • Check for provisions. The agreement should allow provisions for changing elements of it over time, such as in terms of how the contract will need to be edited according to legal requirements.

Do You Need a Lawyer to Review Your Training Data License Agreement?

If you want to hire a lawyer for a review of your training data license agreement, they will give you peace of mind that your contract is legal, clear, and reasonable. Here are some tasks they will conduct during a review.

  • They’ll explain any complex legal or dense wording that can make it challenging to understand what the terms mean.
  • They’ll explain who owns the training data outlined in the agreement, as confusing terms can put you at risk or result in disputes in future.
  • They’ll consider your usage rights. You want to know exactly what the other party can do with your data, or what you’re allowed to do as a licensee. A lawyer breaks it all down so there’s no confusion.
  • They’ll assess your risks and liability if something goes wrong. These can sometimes be hidden in contracts, so a lawyer will uncover them.
  • They’ll confirm all relevant laws and ensure that the agreement is compliant with them.
  • They’ll check the payment terms so that you know the payment amount, when it will be paid, and more.
  • They’ll help you exit the contract should you wish to.
  • They’ll think about the long-term impact of your agreement, such as in terms of your future rights and revenue.

Kenneth E. Gray, Jr. is a business and tax attorney who advises entrepreneurs, investors, and closely held companies on transactions, tax planning, disputes, and long-term wealth structuring. He focuses on helping clients make legally sound decisions that also make business sense. Ken’s practice includes business formation and restructuring, mergers and acquisitions, private investments and fundraising transactions, contract drafting and negotiation, and cross-border matters. He also maintains a significant tax practice, advising on federal and state structuring, specialty filings (including partnership, corporate, and non-resident matters), and representing clients in disputes before the U.S. Tax Court and other federal and state tribunals. In addition to his transactional work, Ken handles commercial and business litigation, including tax controversies, financial disputes, and partnership matters. His litigation experience informs how he structures deals and governance documents, with an eye toward preventing disputes before they arise. Ken also advises individuals and families on estate planning, trust formation, tax-efficient wealth transfer strategies, and probate administration, including planning involving closely held businesses and foreign assets. Before practicing law, Ken worked in banking and private equity, including managing a $5 billion emerging markets fund-of-funds portfolio at the U.S. Overseas Private Investment Corporation (OPIC) and serving in equity research at ABN AMRO. That financial background allows him to understand transactions from both the legal and capital perspective. He holds a J.D. from Georgetown University Law Center and an MBA from Yale University. He practices before the U.S. Tax Court, various state courts, and other federal courts.

"It is not easy to find a lawyer that knows Offshore Asset Protection Trusts, which own a foreign LLC, which owns a USA LLC. Fines could reach $100K if the tax forms are incorrect, or not filed. He was able to review my draft returns and provide memos with required changes (many, many changes), after 1 follow-up everything was basically done other than a few tiny edits. I really appreciated how he worked me in, right in the busiest time of tax season, to ensure there were no errors. Would definitely hire again."

I specialize in business law and contracts, with an emphasis on commercial transactions and negotiations, document drafting and review, employment, business formation, e-commerce, technology, healthcare, privacy, commercial real estate, data security and compliance. Specifically, I've drafted, reviewed and/or negotiated thousands of MSA's, NDA's, TOS', SAAS, sales, service, managed services, referral, reseller, royalty, finder’s fee, employment, contractor, consulting, advertising, marketing, manufacturing, distribution, management, artist, author, agency, photography, rental, lease, vendor, partnership, website, platform, application, privacy, non-compete, non-circumvent, confidentiality, IP ownership and licensing agreements so I'm very familiar with these types of documents. Practicing law since 2006, I worked in-house before starting my own solo practitioner law firm in 2011. I've worked with individuals and start-ups, Fortune 500 companies, and every type of entity in between, always providing quality legal work that fits the exact needs of the person and/or business. I’m a graduate of the Benjamin Cardozo Law School and also have an English degree from Penn.
