Can a coaching agreement be terminated early if the coach fails to deliver the promised services?
I entered into a coaching agreement with a coach who promised to provide me with specific coaching services, but after a few sessions, it became clear that the coach was not delivering on those promises. I am now considering terminating the agreement early, but I am not sure if I have the legal right to do so or if I would be entitled to any refunds or compensation for the services not rendered.

Hello! I'm so sorry for this situation. Generally, the answer to your question is yes. Why? A breach of contract simply means that one party was obligated to perform and they have either not performed or have said that they will not perform. (Restatement (Second) of Contracts.) This applies regardless of whether the agreement was written or done orally. Typically, the aggrieved party is entitled to be returned to the same position they were in before the breach. In other words, if you aren't getting the coaching for which you paid, you can pursue one of those remedies. We are more than happy to review the contract for you to verify. Best of luck! Dolan

However, I am unsure about the essential components that should be included in the MoU to ensure clarity and avoid potential disputes in the future. I want to make sure that the MoU adequately covers aspects such as project scope, responsibilities, timelines, confidentiality, and dispute resolution, among others. Can you please advise me on the key elements that should be incorporated into the MoU to protect both parties' interests and foster a successful collaboration?

You also want to outline how ownership of the project will be split, and how profits/revenues will be split. Will you be forming an LLC to carry out the project? What will each party be contributing to the project - money? equipment? expertise? facilities? The MOU will be a solid working outline for then preparing a definitive, binding agreement - this could be a partnership agreement, a joint venture agreement, an LLC operating agreement, or something of that nature.

I am in the process of starting a business and am looking to form a Limited Liability Company (LLC). I plan to have a subsidiary company, and am looking for advice on the best way to structure the LLC and subsidiary. I am also interested in learning what other legal considerations I should be aware of when setting up the LLC.

If you are interested in forming a series LLC (SLLC) in which a group of LLCs are owned in a tiered-down structure such that the top tier LLC owns the lower-tiered LLCs, then you have to from the SLLC in another state. A SLLC cannot be formed in California. You must register with the foreign SLLC with the California Secretary of State (SOS) before they start doing business in California. In California, LLCs can have one or more members. A member can be an entity or an individual. So if you are forming the LLCs in CA, then one LLC can own another LLC. There are various considerations when forming a LLC in California such as filing the appropriate documentation with the CA Secretary of State (e.g., Articles of Organization, Statement of Information), and having an Operating Agreement to govern, among other things, the LLC's business; LLC's management; members' rights, financial obligations and managerial duties; allocation of profits, losses, and distributions; tax implications; admitting new members or transferring interest; dissolution and winding up of the LLC.

I recently purchased a property with a large backyard that I plan to rent out for events such as weddings and parties. I want to ensure that I am protected from any potential lawsuits or liability if someone were to get injured during an event. I have heard about hold harmless agreements and I am wondering if having guests sign this agreement would effectively protect me from any legal consequences in the event of an injury. I want to make sure I am taking all necessary precautions to protect myself legally.

Hello! Yes. A hold harmless agreement can be an effective tool to limit your liability if someone is injured on your property during an event. When crafted correctly, these agreements require guests or renters to assume responsibility for any risks associated with the event and release you from liability for injuries or damages. However, the protection offered by a hold harmless agreement is NOT absolute, as courts may view them differently depending on the jurisdiction and circumstances surrounding the injury. For example, if an injury occurs due to gross negligence or intentional misconduct on your part, such as ignoring known hazards or failing to address unsafe conditions, courts are likely to find that a hold harmless agreement does not protect you. For instance, if there is a broken step on your property that you knew about but didn’t fix, and someone is injured, the agreement might not shield you from liability. Having guests sign a hold harmless agreement is a smart step, but it should ideally be part of a broader strategy. Best of luck! Dolan
