My name is Elexius. I’ve been practicing since 2016. I began my career doing defense work for insurance companies. I handled worker’s compensation cases, insurance subrogation claims and a number of related employment issues including wage and hour disputes, resignation, termination and release of claims. I also handled employee contract matters and revised contracts as needed for my clients. In my current role I draft contracts and related agreements, including cease and desist, letters of understanding, and various notices. I also handle contractual interference issues.

"Great work! Elexius identified areas in the document that I hadn’t noticed and highlighted the risks involved if I proceed with executing the property management contract — it was absolutely worth the cost."

Employment Contract

Ohio

Asked on Apr 13, 2023

What's personal leave in an employment contract?

I have recently been offered a job, and the employment contract I have been provided with states that I am entitled to personal leave. I am not sure what this is, or what it entitles me to. I would like to know what rights and responsibilities I have regarding personal leave, and what the employer's expectations are of me with regards to this leave.

Jeffrey K.

Answered Apr 14, 2023

Personal leave sometimes replaces vacation and sick time. Some employers just give employees time off for whatever reason the employee chooses. To know more about the rights and responsibilities, you should speak to HR at your new employer who will help you with the employer's expectations and your rights under the leave provision in your contract. Also, look at your contract as it may provide insight as to how to implement the leave. When in doubt, speak to HR. Thanks.

The cost to review will depend on document size. Five pages or less $150. 5 to 10 pages $300. More than 10 pages $30 per page. All reviews come with a memorandum discussing compensation, terms of employment and unusual items, (Things like non compete provisions, non disclosure agreements, etc. )

Lease Agreement

Maryland

Asked on Jun 8, 2024

Can a landlord terminate a lease agreement early without providing any notice?

I recently signed a lease agreement for a residential property, and it clearly states that the lease term is for one year. However, after just three months of living in the property, the landlord informed me that they want to terminate the lease early and asked me to vacate the premises within a week. There was no mention of any early termination clause in the lease agreement, and I am unsure if the landlord has the right to terminate the lease without providing any notice. I would like to know what my rights are in this situation and if I am entitled to any compensation for the inconvenience and unexpected expense of finding a new place to live.

Susan T.

Answered Jun 25, 2024

Although the contract determines the parties rights, it can never break the law of the land. So if your city, state, and/or county, requires the landlord to provide notice to terminate, and most do, the law of the land will prevail. You can make him go to court and try to evict you. If he's breaking the law, he won't even try. If you don't mind leaving early, you could always offer to leave early if he pays you money.

I recently sent a demand letter to a company with whom I have a contract dispute. The company has not responded to my letter, and I am considering sending a modified letter. I would like to know if it is possible to modify the demand letter I sent, and if so, what the most effective modifications would be.

You can always modify a demand letter. The question is whether it is warranted or not. And the effective modifications would depend on the subject matter

Independent Contractor Agreement

North Carolina

Asked on Nov 13, 2023

What are common pitfalls in contractor agreements?

I am a small business owner looking to hire an independent contractor to help with some of my workload. I am concerned about entering into an agreement with the contractor and would like to know more about common pitfalls in contractor agreements so that I can ensure I am entering into a fair and equitable arrangement.

N'kia N.

Answered Nov 14, 2023

In North Carolina, there are numerous potential pitfalls for independent contractor agreements. A few general pitfalls include: 1. Classification: An independent contractor agreement should properly establish that the relationship is intended to be an independent contractor relationship (not an employment relationship). The agreement should include terms and conditions that make the intended nature of the relationship absolutely clear. 2. Compensation: An independent contractor agreement should properly address the contractor's compensation. The agreement should not include references to terms typically reserved for employment relationships (like "salary" or "exempt/non-exempt"). 3. Control: An independent contractor agreement should demonstrate that the hiring party will not control the contractor like it would an employee. The agreement should not include terms and conditions that unlawfully or unnecessarily limit the contractor's rights (like the right to provides services to other clients to generate independent income). 4. Criteria/Qualifications: An independent contractor agreement should establish that the contractor is qualified to provide the services "independently" i.e. without the hiring party providing training or supervision. The agreement should not include terms and conditions that demonstrate an improper degree of control (like probation, performance reviews, or discipline). There are also pitfalls that are based on such factors as the industry or nature of the hiring party's business, the nature of the services the contractor will be performing, or the nature of the relationship between the parties. To be fair and equitable, an independent contractor agreement must respect the various laws governing independent contractor relationships. For example, a worker should not be required to accept a role as an "independent contractor" if the hiring party intends to control the worker like an employee. A North Carolina attorney who is knowledgeable of independent contractor relationships can assist with an independent contractor agreement. Consult with a knowledgeable attorney to help ensure you avoid some common pitfalls in independent contractor agreements.
