Asset Purchase Agreement

California

Asked on Oct 14, 2023

How are employee benefits managed in an asset purchase agreement?

I am a business owner who is looking to purchase a company. This company has many employees, and I want to make sure I am making a well-informed decision about how employee benefits will be managed in the asset purchase agreement. I am looking for advice on the best way to protect both the interests of my business and the interests of the employees in this agreement.

Sarah S.

Answered Nov 14, 2023

In an asset purchase agreement (APA), careful consideration is given to managing employee benefits. The agreement outlines whether the buyer assumes responsibility for continuing specific benefits post-closing, addresses accrued employee benefits, and establishes a clear process for notifying employees of changes. Legal compliance with employment laws, due diligence on existing benefit plans, and provisions for the transfer of benefits are crucial. The APA also covers communication strategies, severance agreements, and adjustments to employee handbooks, ensuring a comprehensive approach to employee benefit management during the transition.

Employment Handbook

California

Asked on Aug 10, 2023

Employment handbook confidentiality?

I am an employee of a large company and I recently received a copy of the company's Employment Handbook. I am concerned about the confidentiality of the information contained in the handbook. I want to know what legal obligations I have to keep the information in the handbook confidential, and what the legal consequences are if I do not keep the information confidential.

Myrna L.

Answered Sep 24, 2023

According to the National Labor Relations Board, Employee Handbooks are not confidential. According to the NLRB, policies that treat Employees Handbooks confidential precludes employees from discussing working conditions, pay and benefits with unions or third parties; this is a violation of Section 7 of the National Labor Relations Act.

Employee Separation Agreement

California

Asked on Mar 12, 2025

Can an employee be forced to sign a separation agreement that includes non-compete clauses?

I recently received a separation agreement from my employer, which includes non-compete clauses that restrict me from working in the same industry for a certain period of time. I am concerned about the potential impact on my career prospects and wonder if I can be legally compelled to sign such an agreement.

Jeff G.

Answered Apr 25, 2025

Forced? No. Can they condition signature to receiving some form of severance? Yes. Can they condition it to receive a final paycheck of money earned? No. Can they include a non-compete in a separation agreement? Yes… but California has VERY employee-friendly laws related to non-competes. The specifics of the presented language in the agreement will matter and should be reviewed by competent counsel in your jurisdiction.

Employment Contract

California

What is fixed term employment contract?

I have been given a contract that says 'Fixed Term Employment Contract'. How is this different than a normal employment contract? Is there anything I need to consider before signing this?

Michael M.

Answered Oct 7, 2022

This is an agreement that has a fixed amount of years which is agreed to by the employer and the employee. These types of agreements usually have a term of say 1, 2, or 3 years and often are renewable for another fixed term

Employee Separation Agreement

California

Asked on May 23, 2023

Are employee separation agreements required?

I recently left my job after two years of employment and my former employer has asked me to sign a separation agreement. I am unsure if I am legally obligated to sign this agreement or if employee separation agreements are required by law. I am hesitant to sign the agreement until I have a better understanding of my rights and obligations.

Gagandeep K.

Answered May 30, 2023

When an employee leaves a company, an employer can offer severance agreement/separation agreement/termination agreement, where employer offers a severance package to the employee (e.g., lump sum money, extended benefits) in exchange for limiting their liability (e.g., release of certain legal claims, confidentiality provisions). An employee can decide whether to accept the severance agreement as-is, whether to negotiate for more favorable terms or to reject the offer. You may consult an attorney to review the severance agreement to understand your rights, obligations, the benefit you are receiving, and the claims you are waiving.
