I help clients with: buying and selling commercial properties including multi-family and office projects, subdivisions, retail shopping centers; and negotiating leases for retail and office landlords, retail tenants and office tenants. Over 23 years I've honed my skills by running deals at an Amlaw-100 firm, an elite real estate boutique in Aspen, Colorado and a few highly regarded national firms based in Denver, Colorado, before starting my own solo practice in 2016. Since 2016 I've been helping my clients with real estate and business deals. I'm a commercial real estate and business expert with a passion for helping clients forge successful ventures in an efficient and understandable manner.

I have been an attorney for 30 years. I am a Colorado native with many years in Alaska. I have a Bachelors in Biology, Chemistry and French, JD from Seattle University and Masters in Environmental Science and Law from Vermont Law School. I have traveled extensively, mostly in Europe, and speak several languages with more or less proficiency. I practiced law in Alaska and Colorado, much of it in remote areas but also large cities. I have taught in an environmental masters program and run large environmental nonprofits and a hot springs resort. I have worked with and run business incubators, a process I love. Empowering people to build their own futures is a passion.

I've represented small, medium, and Fortune 500 companies in business and litigation matters over the past twenty years. Working for various clients exposed me to a wide range of practice areas and issues. I now manage and own my firm. Contract review and drafting, negotiating agreements and settlements, and defending a variety of lawsuits is the heart of my practice. I'm efficient, solution driven, and work well with clients, other parties, and opposing counsel. I was awarded the American Jurisprudence Award in Advanced Legal Writing and am an excellent writer. I'm also the recipient of the Outstanding Young Lawyer Award and the ABA Military Pro Bono Project Outstanding Services Award. I'm a Marine Corps veteran. My main focus is estate planning and business transactions, but I have had many practice areas throughout my career, including criminal defense and prosecution, civil litigation from neighborhood squabbles to corporate contentions. I have also worked in bankruptcy, family law, collections, employment law, and personal injury. I stand ready to assist in any area to which I feel I can be of service, but will not try to fake it if I do not know the area of law I am being asked to serve in.

Memorandum of Understanding
Colorado
When is it appropriate to use a memorandum of understanding?
I am discussing a partnership with another company and we will be doing a pilot before integrating our software. The other party has asked us to provide a partnership agreement. I read about memorandum of understandings and wanted to learn more about what they are used for.
Jane C.
You may use a Memorandum of Understanding when you want a written agreement that is less formal than a contract yet still outlines the terms of your partnership. How do I get out of a partnership agreement?
I am looking at options on how to get out of a business partnership I entered into last year.
Donya G.
It will depend on what your partnership agreement says. You would have to look to the language of the agreement you signed to determine that. What is a partnership agreement?
I am starting a business with a partner and we are looking to create a partnership agreement. We want to make sure that all of our rights and responsibilities are clearly outlined in the agreement in order to protect both of us. We want to be sure that we have a clear understanding of our obligations to each other and the business. We also want to make sure that our agreement is legally binding.
Darryl S.
A partnership agreement is a legally binding contract between two or more partners that clearly outlines the terms of their business relationship. It details each partner's rights, responsibilities, share of ownership and profits, as well as what happens when a partner leaves or dies. Having a clear partnership agreement is crucial for avoiding future disputes or uncertainties that could undermine the partnership.

Who manages a general partnership?
I am currently in a general partnership with another individual to run a business. While we share equal ownership and responsibility for the business, I am unsure of who has the authority to make management decisions on behalf of the partnership. I would like to seek the guidance of a lawyer to better understand the management structure of a general partnership and ensure that our business is being managed correctly.
O.T. W.
Your operating agreement should detail who has what responsibilities between the two of you, and it should establish checks and balances for each of your roles.

How to ensure clarity in a partnership agreement?
I am looking to form a partnership with another individual. We are both going to be investing in the same business and want to ensure that our interests are well protected. We have drafted a partnership agreement but are not sure if it is clear enough. We want to make sure that there are no misunderstandings between us and that our interests are clearly defined. We need help to make sure that the partnership agreement is clear and unambiguous.
Darryl S.
Having an attorney review the current draft will provide an objective perspective on any gaps or areas lacking clarity in your agreement. Investing a little more upfront will prevent issues later should disputes arise. Please let me know if you need any other specific suggestions on strengthening your partnership agreement.

Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
View Trustpilot ReviewContracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
View Trustpilot ReviewI never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.
View Trustpilot ReviewI got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
