Is a void contract enforceable in court?
We are a LLC Rug business. We were ask for a collaboration in exchange for a social media post. Our contract states that “If in 2 weeks you haven’t posted, then this contract is null and void and you would have to pay full price for the rugs”. Can we sue them if they don’t pay for the rugs if we mentioned that the contract is null and void?

What you have described appears to act as a liquidated damages clause. Typically liquidated damage clauses are unenforceable, or not enforced by courts in Massachusetts. However, there may be other methods that can be used to pursue this vendor. For example, a demand letter is one method of putting pressure on a vendor, and such a letter can be followed up with a suit if the matters in the letter are not addressed within 30 days.

How to exit a joint venture?

Good morning - I am a WA State attorney. The purchase and sale agreement should, itself, specify the governing law that would be applicable; if that term is not already part of the PSA you were presented, it should be added. If you are buying a business in WA, normally the PSA will say that WA law will apply, but if you are buying a franchise, it's possible that the PSA will say something like that law of Delaware may apply. Washington has good governing law for this type of agreement. I also suggest that you discuss any concerns with your buyer's agent, and possibly request a WA State attorney to review all the documents before you sign anything.

I am a consultant looking to enter into an agreement with a client. I am interested in having multiple clients, but am not sure if this is allowed under a consulting agreement. A consultant who is an employee of the hiring party (an employer) is usually bound by the employer's restrictions, such as a prohibition against performing the same or similar work for third parties. On the other hand, an outside consultant is usually an independent contractor to the hiring party (a client). An independent contractor is a separate (independent) business from its client and is expected to generate revenue to cover its overhead, pay its employees and contractors, and make profit. Subject to applicable laws, whether to enter into an agreement that would limit its rights to provide services to third parties is in an independent contractor's discretion. A knowledgeable attorney can advise you on your rights under a proposed consulting agreement. The attorney might also be able to help you negotiate terms of a consulting agreement that protect you and your business.

No, but you definitely need to have one, preferably reviewed and prepared by a lawyer; there are a lot of businesses that will give you templates, etc., but do not have the experience and knowledge that a lawyer brings to the table.
