Dennis Sponer co-founded ScripNet, a uniquely designed Pharmacy Benefit Management (PBM) company in 1997. After serving as In-House Counsel for one of Las Vegas’ largest healthcare conglomerates, Dennis devised a payor based technological solution to the challenge of pharmaceutical payment and remittance. As one of the first workers’ compensation specific Pharmacy Benefit Managers in the industry, Dennis pushed the boundaries of what a PBM can do. Clients of ScripNet included some of the largest carriers, governmental entities, and self-insured employers in the nation, including FedEx, Starbucks, Lockheed Martin, the Cities of Dallas, Atlanta and Philadelphia as well as the State of Texas and the State of Nevada. After fifteen years of exceptional growth and class leading industry recognition, ScripNet was acquired in 2012 by Optum Healthcare Solutions. After selling ScripNet, Dennis served as Executive Vice President for the acquiring company and was successful in integrating ScripNet into the larger entity. Influencer Agreement
Washington
Can an influencer agreement be terminated by the brand without notice?
I am an influencer who has been working with a brand under a signed influencer agreement for the past year. The agreement does not explicitly mention termination rights or notice periods. However, recently the brand abruptly terminated the agreement without providing any notice or explanation. I am now unsure if this termination is legal and if I have any rights to seek compensation or challenge the termination.
Merry K.
It would be a good idea for you to have the agreement reviewed by an attorney. You said there's no explicit language regarding termination or notice - is there something implied? With no language regarding termination, most likely either party can terminate at any time, with just a moment's notice, and no reason given.

Independent Contractor Agreement

Can I provide services to the client company as a corporation in CT, NY and/ or PA?
I am currently employed as a Construction Manager by a manpower supplier company to their client with a one-year non-compete/ solicit clause. I identified a need for technician services and want to register as a technician service supplier to the client. Client supplier conditions require that I disclose any current work with them, which is ok. Work locations for the technician services will be Connecticut, New York, and Pennyslyvania. Can I go ahead with the registration since the service in question is different from my current role -Construction Manager versus technician?
JOSEPH L.
Whether or not you can provide services to a client company that you were assigned to by a manpower supplier company would depend on a few factors. 1. What state law applies as stated in the written agreement, which I assume is an independent contractor agreement? 2. What that state law establishes regarding the enforcement of non-compete agreements Business laws very from state to state regarding enforcement of agreements with employees and independent contracts; states don't like to restrict workers unless the restrictions are relevant and related to a defined and reasonable business purpose. 3. You may also be subject to state law based on where you live and where you are providing the services, regardless of what the written agreement states. 4. Non-solicitation language must be reviewed. Does your written agreement state that you cannot solicit them and does this company also have a non-solicit that they will not solicit you? You have to look at it both ways. 5. The exact language of the contract you signed will be very important, especially in how they defined the work you have been performing for that CLient you want to work for.

Service Provider Agreement
Virginia
What contracts do I need for my business?
Hello, My name is Brian Vargas and I’m the CEO & Founder of chorrz.com - an e-commerce platform website that will provide apartment cleaning services through leveraging partnerships with local cleaning providers. My company CHORRZ would operate as follows - I would be partnering with local cleaning providers - (i.e., Marie’s Cleaning Service) who already have their own insurance and this entity would be providing the clean upon being booked by the apartment resident through my platform, chorrz.com. These cleaning providers would effectively be independent contractors and not my employees as CHORRZ is only the platform for seeing local cleaners to book a clean from. My question relates to which type of contract or agreement is suitable for this style of business? A Service Partnership Agreement or maybe an Independent Contractor Agreement? I’ll be partnering with cleaning businesses run by 1 person (the owner) and cleaning companies with multiple cleaners employed. Kind regards, Brian
Jane C.
I suggest you have a consultation with an attorney. A service agreement or independent contractor contract may work depending on the circumstances. Best of luck with your new venture.

Joint Venture Agreement
North Carolina
Who's liable for contracts in a joint venture?
I'm a small business owner looking to start a joint venture with another business. We have discussed the terms of the venture and are ready to move forward, but I want to make sure that I understand who is responsible for which contracts. I'm concerned that if either party fails to fulfill their contractual obligations, I need to know who will be held liable.
N'kia N.
Typically, liability for each party to a joint venture is determined by the joint venture agreement itself. However, if the joint venture agreement is not sufficient to establish liability or there is no agreement, the law imputes "per capita" (per head) liability. For example, in a joint venture that involves three separate individuals and/or entities, each venturer bears one-third of the total liability. For this reason, joint venturers commonly register a separate entity such as a limited liability company ("LLC"). Hope this helps!

How to handle data protection in a consulting agreement?
I am a business owner looking to hire a consultant to provide services to my organization. As part of the consulting agreement, I need to ensure that any sensitive or confidential data used by the consultant is handled in a secure manner. I want to understand what steps need to be taken to ensure that data protection is addressed in the consulting agreement.
N'kia N.
A business that wishes to protect its sensitive or confidential data has several options. Numerous types of agreements or contracts (or clauses or provisions) can help a business protect its data, including those that focus on confidentiality and/or non-disclosure, privacy, or publicity. For a business that is contemplating hiring a consultant who will have access to sensitive or confidential data, the first step is typically to have the consultant sign an agreement protecting that data before granting the consultant access to it. A knowledgeable attorney can assist with review, negotiating, or writing agreements that protect a business' sensitive or confidential data. Consult with a North Carolina attorney who can help you tailor the agreement to comply with North Carolina law and meet your specific legal needs.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
