Creative, results driven business & technology executive with 27 years of experience (17+ as a business/corporate lawyer). A problem solver with a passion for business, technology, and law. I bring a thorough understanding of the intersection of the law and business needs to any endeavor, having founded multiple startups myself with successful exits. I provide professional business and legal consulting. Throughout my career I've represented a number large corporations (including some of the top Fortune 500 companies) but the vast majority of my clients these days are startups and small businesses. Having represented hundreds of successful crowdfunded startups, I'm one of the most well known attorneys for startups seeking CF funds. I hold a Juris Doctor degree with a focus on Business/Corporate Law, a Master of Business Administration degree in Entrepreneurship, A Master of Education degree and dual Bachelor of Science degrees. I look forward to working with any parties that have a need for my skill sets.
"Jeremiah was pleasant to speak to and provided high quality work. I appreciate that he took the time to call me personally instead of a paralegal. Work delivered early and high quality! Highly recommend"

I am a regulatory transactional attorney with 16 years of in-house experience, largely in the gaming/gambling industry. I have negotiated various types and sizes of contracts from janitorial services for a small commercial building to multi-million dollar technology transactions. I also have a strong regulatory background that strengthens my ability to navigate contracts that are subject to stringent regulations.
"Great lawyer and easy to work with. She really cares about your business."
Max K.
I am a business attorney and former in-house corporate attorney with more than a decade of experience helping companies navigate contracts, commercial relationships, day-to-day operations, and disputes. My practice includes drafting, reviewing, and negotiating commercial agreements, licenses, leases, vendor and service agreements, and other business arrangements. Licensed in Nevada, California, New York, and Texas, I also hold an Executive MBA. My goal is to serve as practical, long-term outside counsel to small businesses and entrepreneurs that value responsiveness, sound judgment, and advice grounded in commercial realities - not merely technical legal answers. I handle disputes when necessary, but much of the value I bring lies in identifying issues early, preserving business relationships, and preventing avoidable conflicts. I do not bill separately for routine phone calls. I want clients to feel comfortable calling before a small concern becomes an expensive problem, and I am always happy to have an initial conversation to see if the fit is right for you. www.linkedin.com/in/maxkelner

LLC
Texas
Why hire a lawyer for LLC formation?
I am a small business owner looking to form a Limited Liability Company (LLC). I am aware of the various steps involved in forming an LLC, such as filing paperwork with the state, but I am unsure of the legal ramifications and potential risks associated with this type of business structure. I am seeking advice from a lawyer to understand the legal implications of forming an LLC and to ensure that I am taking the necessary steps to protect my business and my personal assets.
Michael C.
Here are some of the key reasons why it can be beneficial to hire a lawyer when forming an LLC: - Expertise navigating legal requirements - Forming an LLC involves meeting specific legal and regulatory requirements under state law. A business lawyer can help ensure you take all the necessary steps to properly create and register your LLC so that it obtains legal recognition and protections. - Assistance with operating agreement - Lawyers can draft a customized operating agreement that outlines the ownership structure, member responsibilities, profit/loss distributions, voting rights, and other rules governing your LLC. This agreement is important for establishing how your LLC will operate. - Advice on tax implications - LLCs can choose different tax treatments (like being taxed as a sole proprietorship, partnership, S-corp or C-corp). A lawyer can help you understand the tax implications of these options. - Ongoing legal advice - After forming the LLC, you may need guidance on legal issues like liability protection, employing workers, licensing, contracts, intellectual property, etc. A lawyer can provide trusted counsel. - Compliance with regulations - Lawyers stay up-to-date on all current LLC regulations and can help ensure your LLC remains compliant as laws evolve. Non-compliance can result in penalties or loss of LLC status. The bottom line is that an experienced business lawyer can help you avoid potential mistakes when forming an LLC and provide ongoing guidance to maintain the legal protections an LLC provides. Their expertise makes the lawyer fees worthwhile for many small business owners.

Joint Operating Agreement
North Carolina
Can a Joint Operating Agreement be terminated unilaterally?
I am currently a partner in a joint venture with two other individuals, and we have a Joint Operating Agreement in place. However, due to significant disagreements and conflicts of interest, I am considering terminating the agreement unilaterally. I would like to know if it is legally possible for me to do so, and what potential consequences or liabilities I may face in such a scenario.
Christopher N.
The short answer is: it depends. The (properly drafted) document itself should discuss a dissolution of the agreement. Absent specific terms in the agreement, state contract and/or business law would control how to disolve the agreement and your partnership. We highly recommend you consult with an expereienced business or contracts attorney that can help the parties resolve their differences: beit working to reestablish or amicably disolve the relationship. Good luck.

Commercial Lease
North Carolina
What's the repair responsibility in a commercial lease?
I am a small business owner in the process of signing a commercial lease for a retail space. I am trying to understand my responsibilities as the tenant regarding repairs and maintenance of the property. I want to make sure I understand what my repair responsibility is in the lease before signing it.
N'kia N.
In a North Carolina commercial lease agreement, it is common for the landlord to be responsible for major maintenance and repairs (including structural issues) and the tenant to be responsible for minor maintenance and repairs (including general wear and tear). However, the landlord and the tenant may agree to alternative arrangements in the written lease. The best way to more fully understand your specific maintenance and repair responsibilities under a specific lease agreement is to have an attorney review the agreement and discuss it with you. Good luck!

Liability Waiver
North Carolina
Does every participant need a liability waiver?
I am a small business owner who is planning to hold an event for a group of participants. I am looking to ensure that everyone involved is properly protected in the event of any accidents or injuries. In order to do this, I am considering having participants sign a liability waiver. I want to make sure that I have the right legal protection in place and would like to know if every participant needs to sign a liability waiver.
Shelia H.
Yes. If you are having an event, every participant needs a liability waiver. This is especially important if the event includes activities that may result in someone getting hurt. Additionally, it provides you with an opportunity to disclose the possible hazards and an opportunity for the participant to make an informed decision regarding whether to attend and participate. Finally, even if you have a waiver, you will also want to supplement the waiver with insurance that will cover your event.

Waiver And Release Agreement

I am a tennis coach as a side hustle in Austin, TX. Considering getting basic general liability coverage with an insurance company. If I do I would need to have my students sign a waiver. Is this something you can help with and is it absolutely necessary to have the document notarized or not?

Kelvin R.
A waiver and release of liability is a good idea. We can draft a provision for you to include in your existing agreement or as a stand alone waiver agreement. It is not necessary that waiver be notarized.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
