Software Development Agreement
New York
What are the key terms that should be included in a Software Development Agreement?
I am a software developer who is about to enter into a contract with a client to develop a custom software solution. I want to ensure that the agreement adequately protects my interests and outlines the responsibilities and obligations of both parties. I would like to know what key terms and clauses should be included in a Software Development Agreement to ensure a fair and comprehensive agreement.
Damien B.
For software development agreements, the scope of work and payment terms are the most important provisions. The agreement should also address Intellectual property issues, such as copyright ownership. The most important provision in all contracts is what law governs the agreement. If parties are across state lines or from different countries, what law governs the agreement and in what venue do the parties agree to handle the dispute are pertinent. Also, whether arbitration or mediation is mandatory should be included in the contract. Confidentiality and Nondisclosure provisions are essential also. Other provisions involve change requests, warranties, indemnification, and termination clauses.

Finance Lease
New York
What are the legal implications and potential risks associated with entering into a finance lease agreement?
I am considering entering into a finance lease agreement for a piece of machinery for my small business, but I am unsure of the legal implications and potential risks involved. I have been approached by a leasing company that is offering attractive terms, but I want to ensure that I fully understand my rights and obligations before committing to the agreement. I have heard conflicting opinions from colleagues about the potential risks associated with finance leases, such as hidden fees, early termination penalties, and the potential for the lessor to reclaim the asset. I would like to consult with a lawyer to gain a better understanding of the legal aspects and any potential pitfalls before making a decision.
Damien B.
This is Attorney Damien Bosco. My law office is in Forest Hills, Queens County, New York City. My practice covers the New York City metropolitan area and Long Island. In some situations, I also handle matters throughout New York State. It appears that you have considered the risks involved. I would say that a significant concern is the possibility of defaulting on payments, which could lead to the lessor reclaiming the equipment due to a security interest indicated by a UCC filing. Lease provisions are often negotiable. Have an attorney specializing in commercial law review the lease to ensure it protects your interests.

Teaming Agreement
New York
Can a Teaming Agreement be enforced if one party fails to fulfill their obligations?
I am currently considering entering into a Teaming Agreement with another company for a joint business opportunity. However, I am concerned about the potential risks involved if one party fails to fulfill their obligations outlined in the agreement. I want to understand if a Teaming Agreement can be legally enforced and what options I have to protect my interests in case of non-compliance by the other party.
Damien B.
Hello. This is Damien Bosco, Esq. My law office is located in Long Island City. Teaming Agreements can be enforceable in New York, but their enforceability depends on how they are drafted and the specific obligations outlined within them. Courts in New York will assess whether the agreement is sufficiently detailed to constitute a binding contract or merely an agreement to agree in the future. The language in the agreement should reflect that both parties intend for it to be legally binding. If the agreement is enforceable, the non-breaching party can sue for damages or specific performance (if applicable). Keep records of all communications and actions related to the agreement. To maximize the enforceability of your Teaming Agreement and protect your interests, it’s advisable to have an attorney draft or review the agreement. This ensures it aligns with your goals and minimizes potential risks. Would you like assistance drafting or reviewing the agreement?

OEM Agreement
New York
Can you explain the key terms and provisions typically included in an OEM Agreement?
I am in the process of entering into an OEM Agreement with a manufacturing company to produce and distribute a product based on my company's design and specifications. While I have a general understanding of OEM agreements, I am unsure about the specific terms and provisions that should be included to protect my interests and ensure a successful partnership. I want to ensure that the agreement covers important aspects such as intellectual property rights, quality control, pricing, confidentiality, and termination provisions. Can you provide guidance and explain the standard or recommended provisions typically included in an OEM Agreement?
Damien B.
Hello! An OEM Agreement can include the provisions that you mention as well as other important provisions. I think the most important is determining what goes under each of the provisions. For example, the provisions should designate who owns the IP and how IP infringement claims or other breach of contract claims are handled. Also, the agreement would state what restrictions there are on IP use. Manufacturer indemnity clauses are important too. Having an attorney provide legal counsel with whom you can bounce ideas off of and who can draft or edit the agreement is the best way to go.

Consignment Agreement
New York
Can I terminate a consignment agreement if the consignee fails to sell my goods within the agreed upon time frame?
I entered into a consignment agreement with a local boutique to sell my handmade jewelry. The agreement specified that the boutique would have six months to sell the jewelry and pay me a percentage of the sales. However, it has been eight months and the boutique has only sold a few pieces, failing to meet their obligations. Can I terminate the consignment agreement and retrieve my unsold jewelry?
Damien B.
Hello! If the boutique has failed to meet its obligations under the agreement (e.g., not selling within the specified timeframe), you may have grounds to terminate the contract. If the agreement explicitly allows termination after six months without sufficient sales, your position is stronger. If the agreement does not specify a termination process, you may still argue that the boutique's failure to sell your items within the agreed timeframe constitutes a breach. If you have a follow-up question or would like a consultation or further legal services, you can let me know. There should be a button on your page or app that allows you to request a proposal from me specifically for the legal service you request. Best regards, Attorney Damien B.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
