S Corp
North Carolina
S corp and capital structure?
I am the owner of a small business that has recently incorporated as an S Corp. I am trying to understand the best capital structure for my company and want to make sure that I am taking the most tax efficient approach. I am looking for advice from a lawyer to ensure that I am making the right decisions.
Kimbrelly K.
If you have already properly formed your S copy - 1120 S filing with a recognition from the IRS, your best next consult is with a CPA experienced with S corps and your personal financial situation. An attorney can assist with other capital suggestions, but the entity has been formed. So a CPA and/or an attorney with an LLM in tax are your next best partners.

Indemnity Agreement
New York
Can you explain the key provisions and potential implications of an indemnity agreement?
I am in the process of starting a small business where I will be providing consulting services. As part of my contract with clients, I have been advised to include an indemnity agreement to protect myself from any potential legal claims or liabilities that may arise from the services I provide. However, I am not entirely clear on the specific provisions that should be included in the agreement and the potential implications for both parties involved. I want to ensure that I am adequately protected, but I also want to understand any potential risks or limitations associated with such an agreement. Therefore, I am seeking a lawyer's guidance to explain the key provisions and potential implications of an indemnity agreement in the context of my consulting business.
Damien B.
Hello! Here are key provisions to include and some potential implications to consider: Key Provisions: 1. Scope of Indemnity: Clearly define what types of claims are covered. 2. Parties Involved: Identify the client (indemnitor) and your business (indemnitee). 3. Limitations and Exclusions: Include clauses to limit liability. 4. Triggering Events: Specify events that trigger indemnity. 5. Defense and Control of Claims: Clarify who controls the defense. 6. Caps on Liability: Consider setting a cap on indemnity amounts. 7. Notice Requirements: Outline how and when to notify the client of claims. 8. Survival Clause: State that indemnity obligations survive contract termination. 9. Insurance Requirements: Require the client to maintain supporting insurance. Potential Implications: - For You (Indemnitee): Protection from liability, cost transfer, and reputational risks. - For the Client (Indemnitor): Financial risk, dispute potential, coverage limitations. Best Practices: - Consult a Lawyer: Review the agreement for compliance with New York law. - Balance Interests: Ensure fairness to avoid client alienation. - Insurance Coverage: Maintain professional liability insurance. If you're interested, I can assist in drafting or reviewing an indemnity clause tailored to your business needs. How can I further support you in this matter?

Engineering Services Contract
Illinois
Can an engineering services contract be terminated by the client without cause?
Can an engineering services contract be terminated by the client without cause? I recently signed an engineering services contract with a client to provide design and consulting services for a construction project. However, the client has expressed dissatisfaction with the progress and has hinted at terminating the contract even though I have fulfilled all contractual obligations thus far. I want to know if the client has the right to terminate the contract without cause and what my rights and options are in such a situation.
Norman R.
Whether an engineering services contract may be terminated by a client without cause depends on the terms and conditions of the contract. Typically, engineering services contract will include a "Termination Clause" which may allow the client to terminate the contract for convenience (often found in contracts with government entities) or terminate the contract for cause. In the latter case, the agreement should identify the events or defaults allowing for termination after the client gives notice of a default and an opportunity for cure. Consultation with a qualified lawyer who can review the specific contract and circumstances is recommended to determine if termination was appropriate and whether there are remedies available if the termination was made without cause.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
