Can a grantor of a filed quit claim deed sell a home without the grantees signature, or consent?
Parent signed quit claim deed over to son and it has been filed. Parent is now threatening to sell property and not give any proceeds to son who is grantee on quit claim deed. Is this even possible, legally?

The quick answer is likely no. If someone has executed and filed a quitclaim deed, they have no interest left to sell. Any buyer is going to review title to the property and not accept deed from the parent.

If you're doing a rent to own on a house and the owner dies, can the executor or heirs kick you out of the house, raise the monthly price, or raise the amount of the house or do they have to honor the contract in it's entirety? In Tennessee
I have been renting to own for a few years now. We pay so much a month and have put additional money in the house fixing the house up. We have a certain price that we are paying for the house. The owner died yesterday, and the sister/executor of the will called me this morning saying he died and they were coming to look at the house. Said they were probably going to raise the monthly payment and probably going to raise the price of the house. I'm scared they are either going to kick me out or not let me do rent to own or raise the price. She also said I owed rent for this month which I have already paid!

If your rent-to-own contract is in writing then the contract should be binding on the owner's estate, although there may be some practical challenges in enforcing it. If your contract is not in writing you will have several practical proof problems to overcome, and you may have trouble overcoming the executor's challenges to the contract. As a tenant in possession you may have additional rights to recover investments in the house, or maintain your current amount of rent. As with the purchase option, your rights may depend on the language of your written agreement.

Can a construction services agreement be terminated by the contractor if the owner fails to make payment within the agreed timeframe?
I recently entered into a construction services agreement with a contractor to renovate my commercial property. The agreement stipulates that I will make payments to the contractor within 30 days of receiving an invoice. However, due to financial constraints, I have been unable to make timely payments and have fallen behind on several invoices. I am concerned that the contractor may terminate the agreement and leave the project unfinished if I am unable to catch up on payments. Can the contractor legally terminate the agreement if I fail to make payment within the agreed timeframe?

Simple answer...Yes. That said, most Owner/Contractor agreements....particularly AIA forms of Owner/Contractor Agreement, empower a contractor to terminate the agreement on written notice following certain work stoppage and cure periods. A more precise answer, in this instance,, would require a review of the relevant provisions of the underlying Owner/Contractor Agreement in question.

Deposit in a purchase and sale agreement?
I am in the process of purchasing a property and have recently been presented with a Purchase and Sale Agreement. I am unclear on the deposit requirements for this agreement, and would like to know what is typically expected in this situation. I am also interested in understanding what happens to the deposit if the deal does not go through.

A Purchase and Sale Agreement for real property will often require two types of "deposits." The first is a due diligence fee; the second is an earnest money deposit. A due diligence fee is paid to reserve time for the buyer to conduct due diligence - an opportunity to evaluate whether or how to move forward with the deal. The seller earns this fee immediately by agreeing not to sell the property to another buyer, potentially one offering a higher price, during the due diligence period. Therefore, a due diligence fee is nonrefundable unless the parties specifically agree that it will be and under what circumstances. An earnest money deposit is more akin to deposits in other types of deals, in that it may or may not be refundable. This type of deposit is refundable if the deal is terminated before the due diligence period ends but nonrefundable if the due diligence period ends before the deal is terminated.

I am in the process of starting a small business with a partner and we are looking to draft an operating agreement. We want to ensure that all important aspects of our business are covered in this agreement, such as ownership percentages, decision-making processes, profit distribution, and dispute resolution mechanisms. We are seeking guidance on what specific clauses and provisions should be included in the operating agreement to protect our interests and ensure a smooth operation of the business.

LLC Operating Agreements are comprehensive in nature. You have identified several important provisions. Some other provisions that may be considered are capital contribution obligations, Buy/Sell provisions (including Impasse Buy/Sell), financing guarantee obligations, (if any), assignability provisions, tax allocation provisions, SPE provisions, governing law provisions, etc. The list is numerous and much depends on the nature and scope of the business and specific needs of the parties. I have participated in CLE lectures on this subject.
