Sorry to toot my own horn, but I'm not your average lawyer. I graduated in the TOP 1% of my class from one of the nation's top law schools (Berkeley Law). I received eight awards for the HIGHEST GRADE in individual courses, including Constitutional Law, Advanced Legal Research, and Advanced Legal Writing. I worked for three years at a top-flight litigation boutique, where my clients included billion-dollar, household-name companies. I started my own law firm two years ago. Why? Because I wanted to help REAL PEOPLE, not just big companies. I win big cases on behalf of people who were done wrong by businesses, employers, and others. I am more than qualified to advise on any dispute, and am particularly experienced in matters related to digital commerce and consumer protection. Let's go get justice, together.

Operating Agreement
Texas
Do I need to file my Operating Agreement in Texas?
I know I need one but does it go with State filing?
George O.
No, but you definitely need to have one, preferably reviewed and prepared by a lawyer; there are a lot of businesses that will give you templates, etc., but do not have the experience and knowledge that a lawyer brings to the table.

stuck in a bad contract
I got into a contract with a roofing company that wants to charge me 12 thousand dollars out of pocket on top of he !5 or so thousand that thge insurance is paying or the want 5,800 for breach of contract i need the roof but i cant afford that much debt or cash
Matthew S.
What is the basis for the additional $5K? In general, if you never consented to it in a contract, asking for more is a breach of contract and you can sue to enforce the contract at the original price or sue to recover the cost to complete the project with someone else.

Business has been sold
I sold my business in 9-2016 for $300,000 at 6% interest and received $4500 a month for payments then in January 2020 lowered the payments to $3000. How long until the note is paid off? Also the buyers now think they paid too much and want to change the amount, can they so that?
Donya G.
Hello, Everything will depend on what your contract states. If the agreement said they paid the amount they did, it would not matter if they now think otherwise but it depends on your agreement. Generally, any modifications and revisions to an agreement must be in writing and signed by the parties. This would also need to be in your agreement. How I can help - I can review your agreement and advise you on how to take next steps with the buyers. You can connect with me through the website or directly to my profile page at Donya Gordon Esq. How are deliverables defined in a consulting agreement?
I am a small business owner and I am looking to hire a consultant to help me with a project. I am looking to understand how deliverables will be defined in the consulting agreement so that both parties are clear on expectations. I want to make sure that the consultant is held accountable for the work they are delivering and that I am satisfied with the outcome of the project.

Terms of Service
Texas
How to include confidentiality in terms of service?
I recently started a business and need to include terms of service for my customers. I want to ensure that all customer data is kept confidential and secure, and am looking for advice on how to include this in the terms of service. I understand the importance of having a well-drafted terms of service to protect my business, and I want to make sure that the terms of service include confidentiality provisions.
J.R. S.
Congratulations on your new business. I am happy to see you are taking the steps to protect your customers, as well as your business. Here is a general list of things for you to consider as a Texas entity: 1. Clear Definition of Confidential Information: This can include customer files, lists, business, marketing, financial or sales record, data, electronic data, program, plan, survey, and any other record or information relating to the present or future business, products, or services. It can also include customer and patient related information that could damage the company if this information were to come into the possession of competitors. 2. Confidentiality Conditions: The terms of service should detail the conditions under which information qualifies as confidential. For instance, the information could be considered confidential if it's disclosed to the recipient, either directly or indirectly, including the identity of customers, consultants, and suppliers. 3. Regulations for Public Access: The terms of service should include regulations to ensure non-discriminatory public access while complying with confidentiality and disclosure protections. 4. Non-Disclosure of Customer Information: The terms of service should state that customers' identities should not be disclosed, even if the trade secret being protected is a customer list. 5. Return of Confidential Information: The terms of service should state that upon termination of the agreement, the recipient is required to return all confidential information. Depending on what your company does, and the type of information that is collected on your customers, there may be more necessary legal disclosures. You can contact me for more details or to set up a private consultation to evaluate your legal disclosures necessary for your industry.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.

Contracts Counsel was incredibly helpful and easy to use. I submitted a project for a lawyer's help within a day I had received over 6 proposals from qualified lawyers. I submitted a bid that works best for my business and we went forward with the project.
