"It was a pleasure to work with Anand. He was patient and painstaking about all the myriad questions that came up. Response and turnaround times were excellent. I also appreciated that he kept the project open for several days beyond the estimated finish date, in case some new questions came up (which they did, of course). I'll gladly engage with Anand again."

Project Description

In 2023, an individual in New Jersey sought assistance with the review of important legal documents related to their involvement as a co-founder in a new biotech venture. The client aimed to identify any potential legal or financial liabilities that might affect both themselves and their spouse due to the agreements they were asked to sign, specifically a Restricted Stock Purchase Agreement and an Initial Stockholder Consent. They also sought guidance on any additional documents that should be reviewed to ensure comprehensive understanding and protection from liabilities. As a result, the client received ten proposals from qualified attorneys, with flat fee bids ranging from $499 to $999. All proposals were submitted promptly to meet the client's deadline of one week, ensuring that they received the necessary support to address their concerns effectively.

Asked on Dec 25, 2024

Can you explain the terms and conditions of a Restricted Stock Agreement?

I recently started a new job at a tech company, and as part of my compensation package, I was granted restricted stock units (RSUs). I received a Restricted Stock Agreement document outlining the terms and conditions of the RSUs, but I'm having trouble understanding some of the legal language and implications. I want to ensure that I fully understand the agreement before I sign it, so I'm seeking clarification on the specific terms and conditions, such as the vesting schedule, tax implications, and any restrictions on selling or transferring the RSUs.

While there are many standard terms in a RSA, each one can be drafted uniquely. As such, while a competent attorney can review your agreement and explain the terms in plain english, it would be impossible for any of us to answer your questions without a detailed look at the document itself.
