What Does a Trademark License Agreement Template Contain?

Grant of License
The licensor gives the licensee an exclusive, perpetual, royalty-free, fully paid license to use the trademark in connection with the company. It specifies that the licensee can’t use the trademark in any unauthorised ways.

The licensee will be paying an amount of money to use this trademark, so the licensor wants to know that they will be using it in appropriate ways. The licensee agrees to work according to high-quality standards that don’t cause the licensor any losses of their rights.
To protect their reputation and IP, the licensor will conduct quality control over the licensee’s services and other activities, such as advertising materials. If the licensee is found to exercise inappropriate usage of the trademark, they will need to correct the deviations or misuse within 10 days of receiving notice from the licensor.
Rights and Ownership
The licensed mark and all associated rights belong to the licensor. The contract states that the licensee won’t register the licensed mark or similar trademarks.
Termination
In the case of material breach of the contract, the licensor can end the agreement but must provide written notice at least 30 days before termination. The licensee will also have the opportunity to remedy the breach.
However, there are termination consequences. When termination occurs, rights given to the licensee will return to the licensor and the licensee will stop using the trademark within 60 days of termination.
How to Fill out a Trademark License Agreement

- Step 1: Fill in the effective date of the contract, the name of the company, and the licensee’s name.
- Step 2: Explain what is meant by territory (basically, the geographic area the contract covers) and provide a business description in the space provided.
- Step 3: Write down the fee the licensee will pay annually to use the trademark.
- Step 4: Input the licensor’s and licensee’s addresses for written notices to be sent. Include the name of the person to whom the notices will be addressed.
- Step 5: Write the state whose laws govern the contract.
- Step 6: Sign the contract. Write your names and titles.
- Step 7: In “Schedule A” mention the domain names and trademarks that are included in this agreement.
