When drafting a channel partner agreement, here are important terms to include.

  • Parties. The agreement must explicitly state who the parties are.
  • Roles. Explain both parties’ roles, such as if the provider will resell or distribute goods.
  • Territory. It’s important to specify the locations or market segments in which the partner will be allowed to work.
  • Deliverables. Define what goals and deliverables are required under the specific agreement, such as achieving certain sales targets or completing marketing activities.
  • Financial terms. Commission structures and other payment terms must be outlined, such as wholesale pricing and payment timelines.
  • Intellectual Property (IP). Since the company’s brand elements, such as logos, might be shared with other parties, the agreement must provide usage rules.
  • Dispute resolution. To prevent conflict escalation, explain how disagreements can be resolved, such as via mediation or arbitration.
  • Term. This states how long the channel partner agreement will last.
  • Termination. How to end the agreement, such as what conditions trigger termination, must be specified.

What Other Information Should You Include in a Channel Partner Agreement?

To ensure your channel partner agreement outlines all required services and duties, there are some important things to add.

Explain Reporting Rights

To maintain performance and standards, the agreement should specify reporting requirements and the right to audit sales records. This serves to ensure that all commission and compensation is accurate.

Discuss Indemnification and Liability

If something goes wrong, such as if there are third-party claims, this section will protect parties against taking on too many legal or financial risks.

Include an Agreement Purpose

It helps to clarify the specific reason for the agreement. Briefly explain the type of partnership being established so that parties understand exactly what they will be doing and why.

Explain Obligations and Responsibilities
