The draft addressed the material points you provided, including the $6,600 loan, repayment cap, monthly payment formula tied to the greater of specified profit measures or a fixed minimum payment, first-payment timing, late fee, continuing profit-participation rights after repayment, Ohio governing-law provisions, a personal guaranty, reporting and audit rights, and successor/anti-evasion protections intended to address the concern that a business name, ownership, or operational change could be used to avoid ongoing obligations. The agreement also contained certain placeholders because execution-ready legal documents require final confirmation of details that should not be assumed, such as final legal names, addresses, notice details, dates, and other transaction-specific information. Leaving those items open for confirmation is intentional and helps avoid inserting inaccurate information into a binding agreement. When you asked whether those fields needed to be completed, I promptly clarified that they should be filled in as applicable before the parties fully execute the document. I respectfully note that there was never any period of more than 24 hours in which I did not respond to you. While I understand that clients may desire near-instant responses, I worked to remain responsive throughout the engagement while also ensuring that the agreement was carefully tailored to the requested commercial terms rather than relying on a generic template.

"Heather was thorough in reviewing my employment agreement and made the recommendations as requested. However, there seems to have been a misunderstanding somehow... The option I selected was "Review and Feedback"because I didn't need an agreement write-up. I did explain the details of service needed which included revision and recommendations - which she did. But her bid offer was reviewing agreement, provide recommendations snd one additional round of review thereafter. After my employer made the recommended changes, I sent Heather the updated document for review as per her bid but because the option I selected was "Review + Feedback" and agreed to meet my capped budget of $50 less of her bid, she failed to advise she wouldn't honor the additional round of review or answer a question I had, if the responses from my employer should be in the agreement or if the information in the email would still be binding. Unless I paid an additional bid fee, she couldn't proceed with 'additional work"."

"I would not recommend this attorney based on my experience. One of the reasons I hired her was because her engagement terms specifically reassured clients not to worry if the transaction involved another state. Based on that language, I reasonably believed any coordination required for an out-of-state matter was contemplated as part of the representation. After I retained her and paid for the opinion letter, I was then told I needed to pay an additional fee for “Texas attorney outreach” simply to locate and coordinate with Texas counsel, along with proposed rush and weekend fees. Those charges came as a surprise because they were inconsistent with my understanding of the engagement terms. The experience felt like a series of unexpected add-on fees rather than transparent pricing. If you’re considering hiring this attorney, I strongly recommend getting a written, itemized explanation of exactly what is included in the quoted fee, what services are excluded, and every circumstance that could trigger additional charges before you move forward. Fee transparency and setting clear expectations are essential, and unfortunately that was not my experience."

Hi Roger Chan - We are sorry you were dissatisfied, but the review does not fully describe the scope of the engagement or the sequence of events. You retained us to prepare an attorney opinion letter for the transaction, and that letter was prepared and delivered to you exactly as requested and within the limited time frame you demanded. After delivery, you asked us to locate and coordinate with a Texas-licensed attorney who might independently review the transaction and provide a Texas-law opinion or signature. That was a separate request from the original opinion-letter engagement. It required additional time to identify potential local counsel, conduct outreach, provide transaction background, coordinate responses, and manage a possible referral—and no Texas attorney’s participation or signature could be guaranteed. Before undertaking that additional work, we clearly explained the proposed coordination fee and that any Texas attorney could charge a separate fee for independent review or an opinion. No Texas-counsel outreach or coordination was performed, and no additional fee was charged, nor would any have been charged without prior notice and authorization. We work to be transparent about the services included in each engagement and provide pricing for any additional work requested outside the original scope.
