Quick Facts — Patent License Agreement Lawyers

What is a Patent License Agreement Review?

A patent license agreement is a legal document between a patent owner (licensor) and licensee. It details the process of giving permission to the licensee to manufacture, use, or sell an invention and compensate the licensor.

Some common terms that appear in patent license agreements include royalties, term duration, and usage scope.

Read the rest of this article to explore what’s included in a patent license agreement, how to review it, and when you should consult with a lawyer for help with the process to give you peace of mind before signing the contract.

What are Some Key Terms in a Patent License Agreement?

A patent license agreement usually contains terms such as the following:

  • Grant of license. This term includes information about rights that are given to the licensee, such as in terms of where they can use the patent license and for how long they will be able to use it.
  • Payment terms. Payments, revenue-sharing, and royalties need to be clearly explained.
  • Termination. This outlines when and how either party can end the contract.
  • Quality control. The licensee will have to meet certain quality standards as defined by the licensor. They might also have to submit reports on their usage.
  • IP (intellectual property) ownership. The contract should state that the licensor maintains patent ownership.
  • Infringement. How infringement will be settled, and who is responsible for legal defense in such cases, should be outlined.
  • Confidentiality. During the working relationship, the licensee needs to ensure they protect all sensitive information.
  • Dispute resolution. If parties experience conflict, the agreement should specify how it can be settled, such as via arbitration.

What are Red Flags When Reviewing a Patent License Agreement?

There are some common risky clauses that can be present in a patent license agreement. Here are some to note during the review process.

  • Vague clauses. If there are any vague descriptions and rights, this can cause misunderstandings and accidental violations.
  • Lack of revenue metrics. If these aren’t specified, it can cause issues with royalty payments or misaligned performance standards.
  • Confusion over ownership rights. It must not be assumed that both parties know who owns the patent. The agreement should clearly define that the licensor owns the patent and the licensee is only given licensing rights.

How Can You Review a Patent License Agreement?

When reading through your patent license agreement, you should look for some specific terms. Here are some tips on how to review the contract.

Check Exclusivity Clauses

You want to be sure that the license is either exclusive or non-exclusive. If it’s exclusive, you’ll be able to use the patented invention without anyone else having access to the license.

When considering your rights under the agreement, check for any information about sublicenses.

Consider Minimum Royalties

It’s common for these agreements to contain a minimum royalty that the licensee must pay to the licensor, and it's not necessarily dependent on how many units are sold. This is something licensors will want to ensure so they continue to receive compensation.

When scrutinizing payment structures and terms, you should also check the agreement for information about upfront fees. If these aren’t specified, ask the other party about them so you have clarity from the start of the agreement.

Look at the Territory Scope

As a licensee, you’ll want to check where you can use the patented invention so that it’s practical for your needs.

Don’t Neglect Improvements

If improvements to the patented innovation are allowed, the agreement should mention what specific changes are authorized and which party will own them, to prevent disputes.

Know What’s Expected of You

Some patent license agreements will specify that you have to do something with the patent, such as meet certain sales targets or milestones. You want to have transparency about these before the contract starts so you understand all your obligations.

Negotiate Terms

If you’re not happy with certain terms in the patent license agreement, you should discuss them with the other party. You could also consult with a professional lawyer for guidance with this process.

Should You Hire a Lawyer for a Review of Your Patent License Agreement?

Although it’s not always a requirement to hire a lawyer for a contract review of your patent license agreement, it’s advisable.

If you don’t have an extensive legal background, a lawyer will help you identify risky clauses and consider your concerns.

Here are some ways in which they can give your patent license agreement a thorough review:

  • They’ll unpack any dense legal jargon that can be hiding unfair or unfavorable terms.
  • They’ll provide clarity while explaining your duties and rights.
  • They’ll suggest revisions to protect your interests, such as for vague or ambiguous wording.
  • They’ll check that the usage scope meets your business requirements.
  • They’ll review the pricing terms, such as in terms of royalties, so they’re fair.
  • They’ll check termination clauses so you’re not locked into a contract you no longer want.
  • They can negotiate with the other party for more favorable terms.
  • They’ll make sure that the agreement is legally compliant to prevent penalties and other risks.
