Can my LLC purchase a car?

Dolan W.

Answered on Dec 2, 2024

Hello, and thank you for your question. My name is Dolan, and I’d be happy to help with this. I carefully review each question and provide responses based on my years of hands-on experience as a lawyer. Yes, your LLC can purchase a car. Since an LLC is a legal entity, it can own property, including vehicles. However, there factors to consider:
1. Business Purpose: The car must be used primarily for business purposes to justify the purchase through your LLC.
2. Financing: If you’re financing the car, lenders may require a personal guarantee, especially for newer LLCs.
3. Tax Deductions: Purchasing a car through your LLC may offer tax benefits, but proper documentation is key.
Could you provide a little more detail about the intended use of the car and your LLC’s structure? That will help me give you more tailored advice.

Answered on Dec 2, 2024

Hello *****, and thank you for your question. My name is Dolan, and I’d be happy to help with this. I carefully review each question and provide responses based on my years of hands-on experience as a lawyer. The short answer is yes, an LLC can buy a business. This is a common structure for business acquisitions because it provides legal protections and flexibility for the buyer. Here are a few things to consider: 1. Asset vs. Entity Purchase:
- The LLC can either purchase the assets of the business (i.e., equipment, inventory, intellectual property) or the entity itself (i.e., the corporation or LLC).
2. LLC Agreement:
- If your LLC has multiple members, you’ll need approval from all members or a majority vote, depending on your operating agreement.
3. Due Diligence:
- The LLC should thoroughly review the financial, legal, and operational details of the business before completing the purchase. Could you provide more details about your LLC and th...

Hello***! My name is Dolan, and I’d be happy to help with this. I carefully review each question and provide responses based on my years of hands-on experience as a lawyer. Purchasing a commercial cleaning business involves several legal steps to ensure you’re protected and the transaction proceeds smoothly. You’ll need to conduct due diligence, draft or review a purchase agreement, and potentially navigate employment and licensing considerations. Can you share a bit more about the business you’re considering buying? For example, do you have a purchase price in mind or any key details about the current business owner?

Hello ****, and thank you for your question! My name is Dolan, and I’d be happy to help with this. I carefully review each question and provide responses based on my years of hands-on experience as a lawyer. Keeping your LLC in good standing involves a few critical steps. These vary slightly by state, but the most common requirements include:
1. Annual or Biennial Filings: Most states require you to file an annual or biennial report. This updates your business information, such as your registered agent and business address.
2. Paying State Fees: These are usually tied to your annual report filing and vary by state.
3. Maintaining a Registered Agent: Every LLC must designate a registered agent to receive legal and tax documents.
4. Keeping Business Licenses Current: If your business requires any local, state, or industry-specific licenses, ensure they’re up to date.

I have a dispute with my business partner. Can you help me resolve it? My business partner and I run a small web development company. Lately, we’ve been clashing over how to handle our finances. I think we should reinvest most of our profits into the business, but my partner wants to take out large distributions. It’s become a real problem, and we can’t seem to agree on a solution. Can you help?

Hello ********, and thank you for your question! My name is Dolan, and I’d be happy to help with this. I carefully review each question and provide responses based on my years of hands-on experience as a lawyer.
Disputes between business partners are unfortunately common, especially when it comes to financial matters. The good news is that there are several ways to address the situation, depending on your partnership agreement and your goals.
Here’s a general roadmap:
1. Review the Partnership Agreement: If you have a written agreement, it should outline how decisions like profit distributions are made.
2. Consider Mediation: A neutral third party can help both of you reach a fair resolution without damaging your working relationship.
3. Legal Action: If all else fails, you might need to explore legal remedies, including dissolution of the partnership.
To give you tailored advice, I have a few follow-up questions:

Can I dissolve the partnership if my partner refuses to cooperate? I run a small marketing business with a partner, and things aren’t working out. Hello, and thank you for your question! My name is Dolan, and I’d be happy to help with this. I carefully review each question and provide responses based on my years of hands-on experience as a lawyer. Dissolving a partnership can be complicated, especially when one partner isn’t cooperative. The good news is that most partnerships are governed by an agreement or state laws that outline how dissolution works. Here’s an overview of the steps involved: 1. Review the Partnership Agreement: If you have a written agreement, check for clauses on dissolution or resolving disputes.
2. Default State Laws: If there’s no agreement or it doesn’t address dissolution, state partnership laws will apply.
3. File for Dissolution: In most states, you can unilaterally file for dissolution if the partnership is no longer viable, but you’ll need to follow specific procedures.
4. Settle Debts and Assets: After filing, the partnership must wind up its affairs, includin...

Contract dispute - review and offer options on how to cancel agreement. [FILE UPLOAD] Hello my company SSS started working with an external BDR agency. The agency began work in August and as part of the agreement we were provided a video creation service as part of the contract. When we told the company what we wanted in the video they told us they couldn't perform the work and offered a $100 discount on next month's invoice. This combined with other difficulties has led us to the point which we would like to terminate the agreement without continuing to pay the monthly fees.

Hi - a client of ours has breached contract of a service agreement We are trying to understand what our options are here. They have cancelled their contract with us, but we have a clause in there that says they need to pay us a certain amount of money if they break contract early. We're an SEO agency and the client pays us a monthly retainer and for additional services. Can you let us know what our options are? It is for a pretty substantial amount of money.

Hello and thank you so much for coming to contractscounsel.com I just had a few questions for you: 1. Do you have in writing the payment terms for the additional services you perform for the client? 2. Are you running into any issues regarding collecting payment from your client for these services?

I got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
