I have a dispute with my business partner. Can you help me resolve it? My business partner and I run a small web development company. Lately, we’ve been clashing over how to handle our finances. I think we should reinvest most of our profits into the business, but my partner wants to take out large distributions. It’s become a real problem, and we can’t seem to agree on a solution. Can you help?

Hello ********, and thank you for your question! My name is Dolan, and I’d be happy to help with this. I carefully review each question and provide responses based on my years of hands-on experience as a lawyer.
Disputes between business partners are unfortunately common, especially when it comes to financial matters. The good news is that there are several ways to address the situation, depending on your partnership agreement and your goals.
Here’s a general roadmap:
1. Review the Partnership Agreement: If you have a written agreement, it should outline how decisions like profit distributions are made.
2. Consider Mediation: A neutral third party can help both of you reach a fair resolution without damaging your working relationship.
3. Legal Action: If all else fails, you might need to explore legal remedies, including dissolution of the partnership.
To give you tailored advice, I have a few follow-up questions:
1. Do you have a written partn...

Can I dissolve the partnership if my partner refuses to cooperate? I run a small marketing business with a partner, and things aren’t working out. My partner is refusing to agree on key decisions, like hiring new staff or expanding services. I think it’s time to dissolve the partnership, but I don’t know if I can do that if they won’t cooperate. Can you help?

Hello, and thank you for your question! My name is Dolan, and I’d be happy to help with this. I carefully review each question and provide responses based on my years of hands-on experience as a lawyer. Dissolving a partnership can be complicated, especially when one partner isn’t cooperative. The good news is that most partnerships are governed by an agreement or state laws that outline how dissolution works. Here’s an overview of the steps involved: 1. Review the Partnership Agreement: If you have a written agreement, check for clauses on dissolution or resolving disputes.
2. Default State Laws: If there’s no agreement or it doesn’t address dissolution, state partnership laws will apply.
3. File for Dissolution: In most states, you can unilaterally file for dissolution if the partnership is no longer viable, but you’ll need to follow specific procedures.
4. Settle Debts and Assets: After filing, the partnership must wind up its affairs, includin...

How can I resolve a dispute with my business partner? We've been in business together for 7 years. This is the first dispute we have gotten into. He is disputing pulling profits out of the company. I want to keep them in and reinvest them. It isn't what we agreed upon a long time ago and didn't expect the business to be as successful as it has been. How do people typically resolve these disputes?

Hello *****! I'm so sorry that this is happening to you. I just had a few quick questions: 1. What specific terms did you initially agree upon regarding profit allocation and reinvestment with your business partner? 2. Has your business partner outlined specific reasons for wanting to pull profits out instead of reinvesting? 3. Have any written agreements been established that specify how profits should be handled, especially if business conditions change?

I never knew how difficult it was to obtain representation or a lawyer, and ContractsCounsel was EXACTLY the type of service I was hoping for when I was in a pinch. Working with their service was efficient, effective and made me feel in control. Thank you so much and should I ever need attorney services down the road, I'll certainly be a repeat customer.

I got 5 bids within 24h of posting my project. I choose the person who provided the most detailed and relevant intro letter, highlighting their experience relevant to my project. I am very satisfied with the outcome and quality of the two agreements that were produced, they actually far exceed my expectations.
