Deposit in a purchase and sale agreement?

I am in the process of purchasing a property and have recently been presented with a Purchase and Sale Agreement. I am unclear on the deposit requirements for this agreement, and would like to know what is typically expected in this situation. I am also interested in understanding what happens to the deposit if the deal does not go through.

A Purchase and Sale Agreement for real property will often require two types of "deposits." The first is a due diligence fee; the second is an earnest money deposit. A due diligence fee is paid to reserve time for the buyer to conduct due diligence - an opportunity to evaluate whether or how to move forward with the deal. The seller earns this fee immediately by agreeing not to sell the property to another buyer, potentially one offering a higher price, during the due diligence period. Therefore, a due diligence fee is nonrefundable unless the parties specifically agree that it will be and under what circumstances. An earnest money deposit is more akin to deposits in other types of deals, in that it may or may not be refundable. This type of deposit is refundable if the deal is terminated before the due diligence period ends but nonrefundable if the due diligence period ends before the deal is terminated.

Are oral purchase agreements valid?

I'm in the process of purchasing a property and the seller and I have verbally agreed to the terms of the purchase. I'm concerned about the validity of the agreement and want to ensure that I am properly protected under the law. I am looking for clarification on whether an oral purchase agreement is legally binding.

Your question suggests a real estate purchase. Oral contracts for the sale or transfer of land are subject to the statute of frauds in most states. This requires such agreements to be in writing and signed by the parties to be enforceable. Although there are some limited exceptions, I recommend trying to get your verbal agreement memorialized in writing as soon as possible.

Hello! I hope you are well! If X is contesting a defective or invalid deed, and the quitclaim deed has been recorded for at least five years, then the deed will be considered valid. Under Oklahoma law, an instrument (in your case, the quitclaim deed) that has not been acknowledged or which contains a defective acknowledgment shall be considered valid notwithstanding such omission or defect, and shall not be deemed to impair marketability, provided such instrument has been recorded for a period of not less than five (5) years. 16 O.S. §§ 27a & 39a. Need help with a property issue

My wife and I took over a house from a friend in August of 2008 due to his job transfer from Houston to Nigeria. We agreed to the following terms: We will continue paying the mortgage plus a second loan attached, apply for mortgage approval, and change ownership to our name. We had a written agreement. We applied for a loan in 2009 but was not approved due to poor credit. We decided to wait and continue paying and reducing the outstanding before reapplying. In August of 2021, we reapplied and were given a loan approval to assume the house in our name. Our agent requested that we should have the other party communicate with them. I called and informed him to reach out to our agent but he kept promising to call the agent but never kept his promise. About the middle of January 2022, he stopped picking up our calls. We sent several emails and he never cared to respond. We need help on what to do next.

You may have an executory contract under Texas law. There may be an argument to be made for an equitable title in the property. Can I terminate an HVAC contract if the contractor fails to complete the agreed-upon work within the specified timeframe?

I hired a contractor to install a new HVAC system in my home, and we signed a contract that stated the work would be completed within four weeks. However, it has been three months, and the contractor has not finished the installation. Despite numerous promises and excuses, there has been no progress made, and I am growing increasingly frustrated. Can I terminate this HVAC contract due to the contractor's failure to meet the agreed-upon timeframe?

Simple answer...yes. The failure of the contractor to timely complete performance through no fault of the homeowner can be the basis for termination of the contract. Of course, the terms of the contract will control on this subject. It is customary for contracts to require that a written notice be provided by the homeowner to the contractor setting forth, in reasonable detail, the nature and scope of the default by the contractor and requiring that the default be cured within a state time period following delivery of the notice...failing which, the homeowner will be entitled to terminate the contract and, in certain instances, seek recovery of damages by reason of such default..
