HI, being a freelancer and independent contractor( 1099) in CA, can I send a collections notice for non payment to client?

I am an independent contractor and freelancer in San Diego, California. I am a sole proprietor who offers training and consulting services. I use a contract agreement with my clients. Even after signing my contract, this client is unwilling to compensate me for the hours I spent working on his project. I would like to send this client a collections notice for non-payment. I would appreciate knowing the process. Thanks in advance

Can a restaurant owner transfer their liquor license to a new location?

I am a restaurant owner and I am considering relocating my business to a new location within the same city. I currently have a liquor license for my existing establishment and I would like to know if it is possible to transfer this license to my new location, or if I would need to go through the application process again. I have invested a significant amount of time and money in obtaining the current license and I want to ensure that I can continue serving alcohol at my new establishment without any legal issues or delays.

Hello! My name is Dolan and I'm happy to help. As a restaurant owner in California planning to move within the same city, you can transfer your existing liquor license to the new spot through a "premises-to-premises" transfer. This involves applying to the California Department of ABC for approval. The ABC will check both your qualifications and whether the new location fits their standards. Keep in mind, that applying doesn't guarantee approval; the ABC might deny the transfer if the new place doesn't meet their criteria. To get started, you'll need to submit specific forms and fees to your local ABC district office. The process usually includes posting a public notice at the new location for 30 calendar days and possibly informing nearby residents, depending on local rules. Typically, the whole process takes about 55 to 65 days, but it can be longer if there are protests or other issues. Remember, during the transfer process, you must follow all ABC regulations, including paying any necessary renewal fees to keep your license active. If your current place is closed for 15 consecutive days, you're required to surrender your license to the ABC within that time. However, during the surrender period, which can last up to a year, you can transfer the license to another location or person, as long as all renewal fees are paid. I hope this helps! Thanks again! Can a partner assign their interest in a partnership to another person without the consent of the other partners?

I am a partner in a small business partnership and I recently discovered that one of my partners plans to assign their interest in the partnership to a third party without informing or seeking consent from the other partners. This raises concerns for me as we have a close-knit working relationship and I believe that such a significant change in ownership should require the approval of all partners. I would like to know if it is legally permissible for a partner to assign their interest in a partnership without the consent of the other partners, and what actions can be taken to protect the interests of the remaining partners in such a situation.

Hello! My name is Dolan and I'm happy to answer this question. The short answer? Whether your partner can assign their interest without your consent depends on your partnership agreement. Most agreements require all partners to approve something like this, especially in a close-knit setup like yours. If there’s no agreement or it doesn’t cover this, state law usually allows a partner to transfer their financial stake (like profits and losses) but not their management rights or status as a partner without everyone’s okay. First, check your partnership agreement to see if this move breaks the rules. If it does, you can push back. If there’s no agreement, the new person likely can’t step into full partnership status without your consent. To avoid issues like this in the future, consider updating the agreement to require unanimous approval for transfers. The short answer is yes, they are enforceable. The longer answer is the cost involved, the actual damages, and if they can be quantified. In most cases these agreements simply act as a disincentive to reveal the information protected.

The strike price is defined as the price that the employee can exercise his/her options at. For example, if the strike price is $1.00, at the point the 100s options have vested, the aggregate amount owed to exercise would be $100.00
