What should I do? How should I proceed this situation.
Hello, I sign a sale contract to buy a dog with a purchase of travel cost. The sales person received a payment and started the process to ship the puppy. But it came a hiccup when the puppy to small to be in a crate that was not secure. The airport was trying to charge 1000 to 1500 which the sales person did not have and wanted me to pay it. I could not pay it and the sales person could not supply the crates from a local store. So we made a agreement he would pick the dog up from the airport and refund the money back. It has been 6 hours and the sales person did not refunded and now I can not get in touch with him. What should I do

While the process can seem complex, breaking it down into key steps can help ensure that you’re meeting all legal requirements. Here’s an overview of what’s involved: 1. Choose a Corporate Name Your corporation’s name must be unique and distinguishable from other registered businesses in Ohio. You can check name availability through the Ohio Secretary of State’s website and reserve a name if needed. 2. File Articles of Incorporation To officially form your corporation, you must file Articles of Incorporation with the Ohio Secretary of State. This document includes basic details such as your corporation’s name, purpose, number of shares, and statutory agent (a registered agent who will receive legal notices). 3. Appoint a Statutory Agent Every Ohio corporation must designate a statutory agent (also known as a registered agent) who will accept legal documents on behalf of the company. This can be an individual or a business entity authorized to operate in Ohio. 4. Obtain an Employer Identification Number (EIN) An EIN (also called a Tax ID) is required for tax purposes, hiring employees, and opening a business bank account. You can obtain one for free from the IRS website. 5. Create Corporate Bylaws While not legally required to file, corporate bylaws are an essential internal document that outlines your business’s governance structure, including how decisions will be made, the roles of directors and officers, and how shares will be managed. 6. What should be included in an asset purchase agreement?
I am considering buying a chain of laundry mats and have been told I would need an asset purchase agreement for the legal paperwork involved. I don't believe I want to buy the business, but am not sure. I think I would just want to buy their machines and take over their leases. If this was the case, what would I need to have in an agreement?

As the buyer, your preference is always to by the assets rather than the existing business entity. That way, you will have greater protection against liabilities of the business that arose before your purchase. You can also structure the deal so that you're buying only those assets you're interested in, and can carve out those assets you don't want to buy. You do want an attorney assisting you, as there are pitfalls in the process, and you want to be protected. Thanks.

We really don’t have a complete checklist of all the things you might want to include, and it depends on the particularity of your situation.. frequently a template might be missing something or it’s a vague or it’s broad and it creates a problems. However, detailed do you choose your contract to be is after the parties.. but it’s always about who is doing what to whom and how how they are getting paid and how is liability resolved

Are oral terms and conditions enforceable?
I am a small business owner who is in the process of creating a new website. I am writing my own terms and conditions for the website, and I want to ensure that they are legally enforceable. I understand that written terms and conditions are legally enforceable, but I am unsure if oral terms and conditions are enforceable in the same way. Therefore, I am seeking your advice on the matter.

Whether or not oral (verbal) terms and conditions are enforceable may depend in part on how well the written contract makes it 110% clear that no changes can be made unless they're in writing and signed by all parties in advance. Absent that kind of language in the written agreement, or absent any type of written contract, verbal agreements can be enforced - it's more difficult, of course, than if something is in writing.
