Eric H.
I'm a M&A, start-up, and commercial attorney providing biglaw service on SMB budgets. Basically, I help people spend large amounts of money slightly less terrifyingly. :)
"Eric was awesome. He responded immediately after regular business hours the night before my contract was due to be submitted. Completed it by noon the next day and spoke with me about it. He did a great job and I will definitely use him again."
Chaz G.
As a former corporate attorney at one of the world's premier global law firms and former in-house counsel at Texas Instruments, a Fortune 500 technology leader, I bring big-firm expertise and corporate-level sophistication to entrepreneurs, startups, and small business owners who deserve the same quality legal support as the largest companies in the world. As a lawyer and startup founder with products currently being sold in national retail chains, I've spent my career at the intersection of complex business transactions, corporate law, and policy. I know how deals get done, where contracts go wrong, and how to protect businesses before problems arise. Now, I put that experience to work for founders and business owners who need practical, straightforward legal guidance without the intimidating price tag of a major law firm. Whether you're signing your first vendor contract, structuring a partnership, protecting your intellectual property, or navigating a business dispute, I translate the law into plain language so you can make confident decisions and focus on growing your business. What I bring to the table: - Complex commercial transactions experience at an AmLaw 100 firm - 7+ years as in-house counsel at a Fortune 500 company - Deep understanding of how businesses actually operate day-to-day - Flat-fee, transparent pricing with no billing surprises - Fast turnaround and direct communication If you're building something, I want to help you protect it.
"Chaz was extremely helpful, thorough, and professional. I hired him for a cease and desist letter involving an unauthorized use of my company’s business identity, EIN, and credit. He took the time to review the documents carefully, explain the legal issues in plain English, and help me understand the strengths and challenges of my situation. What stood out most was how organized he was. He prepared a legal analysis memo before our call, walked me through the authority issues, and adjusted his approach after reviewing additional company documents. He was patient, clear, and never made me feel rushed, even though the situation involved several complicated details. The final work product was strong, detailed, and tailored to my specific facts rather than feeling like a generic template. I would definitely recommend Chaz to anyone who needs a knowledgeable attorney who communicates clearly and takes the time to understand the full picture."

Adam J.
I'm a California-licensed attorney with 18+ years of experience helping everyone from Fortune 500 companies and venture-backed startups to individuals navigating real-life legal situations. My career started at Fenwick & West, one of Silicon Valley's top law firms, where I worked alongside names like Google, Airbnb, Kleiner Perkins, and Sequoia Capital. From there I moved in - house at companies like Cloudflare, Autodesk, and Enphase - which gave me a practical, business-minded perspective that I bring to every client, no matter the size of the matter. Today I work with businesses and individuals alike. On the business side, that means commercial contracts, leases, startup corporate work, and serving as a fractional general counsel for companies that need a trusted legal partner without the overhead. On the personal side, I help individuals with employment matters, disputes, demand letters, contract review, and the kind of everyday legal situations where you just need someone knowledgeable in your corner. I'm direct, responsive, and I speak plain English — not legalese. Whether you're a founder closing your first deal or an individual facing a situation you've never navigated before, I'll give you the same level of attention and care.
"I highly recommend Adam. As an entrepreneur navigating a complex IP contract breach, I needed someone knowledgeable and truly invested in the outcome. Adam was thorough and communicative, guiding me to draft a demand letter that was both extremely polished and well beyond my expectations. He provided a competitive bid and was transparent about the project scope, avoiding the "nickel and diming" I experienced with other attorneys. I am very happy with the results and would recommend him to any business owner."

Provisional Patent Application
Florida
Can I file a provisional patent application to protect my invention before seeking a patent attorney's assistance?
I have recently invented a new product and I want to protect my idea before sharing it with potential investors or manufacturers. I have done some research and I understand that filing a provisional patent application can provide temporary protection and establish an earlier filing date. However, I am unsure if I can file the application on my own without the assistance of a patent attorney, or if it is necessary to consult with a lawyer before proceeding.
Sara S.
Hi, It is not "necessary" to consult with a lawyer before proceeding. However, filing a provisional patent application requires a profile in the United States Patent & Trademark Office system which patent attorneys and patent agents have. You should also familiarize yourself with required fees for patent filings, which you will have to pay, attorney or no.

Intellectual Property Rights Transfer Agreement
New York
Can you explain the process and legal requirements for transferring intellectual property rights to another party?
I recently developed a new software program that I believe has significant commercial potential. However, I am not well-versed in intellectual property law and I am unsure about the process and legal requirements for transferring the intellectual property rights to another party, such as a software company or investor. I want to ensure that I am properly protecting my rights while also being able to monetize my creation, so I am seeking guidance on the necessary steps and legal considerations involved in transferring intellectual property.
Benjamin D.
Congratulations on developing a software program with commercial potential! Transferring intellectual property ("IP") rights for software involves several important steps and legal considerations. Here's a brief guide to help you navigate this potentially complicated process: Identify and Document Your IP Before transferring any rights, ensure you have: -Documented your software thoroughly, including source code and any related materials -Determined what types of IP protection apply (e.g., copyright, potential patents) -Confirmed that you are the rightful owner of all the IP involved Choose the Type of Transfer Decide whether you want to: -Fully transfer ownership (assignment) -License the rights while retaining ownership Licensing allows you to maintain control while still monetizing your creation. Draft a Transfer Agreement Work with a legal professional to create a comprehensive transfer agreement that includes: -Clear identification of the parties involved -Detailed description of the software and associated IP -Scope of rights being transferred -Payment terms and structure (e.g., upfront fees, royalties) -Representations and warranties Confidentiality provisions -Terms for delivery and acceptance of the software -Key Provisions to Include Ensure your agreement covers: -Conveyance of Rights: Clearly state all rights, titles, and interests being transferred, including related works and documentation. -Payment Terms: Specify the compensation structure, whether it's a lump sum, royalties, or a combination. -Delivery and Acceptance: Set a timeline for software delivery and an acceptance period for the transferee to inspect and test the software. -Further Actions: Include a clause requiring you to take any necessary additional steps to complete the transfer. Execute the Transfer Once the agreement is finalized: -Both parties should sign the transfer agreement -Deliver the software and all related materials as specified -Record the transfer with relevant authorities if necessary (e.g., for patents) Protect Your Interests Consider these additional steps: -Confidentiality: Ensure strong confidentiality provisions are in place to protect your sensitive information. -Future Rights: Decide if you want to include provisions for future developments or improvements to the software. -Warranties: Be cautious about what you guarantee regarding the software's ownership and functionality. Seek Professional Assistance Given the complexity of software IP transfers, it's highly recommended to: -Consult with an intellectual property attorney -Work with a software licensing expert -Consider engaging a patent attorney if your software contains potentially patentable innovations Remember, the specific requirements and best approach may vary depending on your unique situation and the nature of your software. Professional legal guidance can help ensure you're properly protecting your rights while maximizing the value of your creation.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
