What's the survival clause in a commercial lease?
I am looking to enter into a commercial lease for my new business. I am unfamiliar with the terms of a commercial lease, and am particularly interested in understanding the survival clause. This clause is important to me because I want to make sure I am fully aware of my rights and responsibilities as a tenant. I need to know what is expected of me should the lease be terminated prematurely.

A survival clause is fairly standard in a lease. It extends the effectiveness of certain provisions, such as party representations, warranties, promises, and covenants beyond the expiration or termination of the lease, but not beyond the legally prescribed statute of limitations. For example, If you make a fraudulent representation in a 1-year lease, the other party to the lease who is damaged by your fraud could still sue you for that fraud even after the end of the 1-year lease.

Hello, The answer to your question will depend on what your contract has stated as the law that will govern your contract. Somewhere in your agreement should be the words "this contracts is governed by the law of _____". If your contract says Montana, then you will need a Montana attorney. If the contract says New York, then you will need a New York attorney

I run a small business and recently entered into a contract with a supplier for the purchase of raw materials. Can a service provider unilaterally modify the terms of a Service Legal Agreement without seeking consent from the customer?
I recently signed up for a service that required me to agree to a Service Legal Agreement, which outlined the terms and conditions of the service. However, after a few months of using the service, the service provider sent out an email stating that they were making significant changes to the Agreement, including increasing fees and reducing the level of service provided. I did not agree to these changes, but the service provider claims that they have the right to modify the Agreement without seeking consent from the customer. I am wondering if this is legally permissible, and if not, what recourse do I have as a customer?

Hello! I'm so sorry that this happened to you. To modify a contract legally, the following requirements must be met: All parties to the contract must agree to the modification. This means that both parties must sign and date the amendment to the contract. The parties to the contract need new consideration -- something of legal value -- to modify a contract. For example, if a party wants more money for something they would need to provide additional performance in exchange. A writing is not required for a modification, but it is recommended. If they are making changes to the agreement, then they have to wait until the term is over (e.g. every 30 days) before they can make any changes. Best of luck to you!
