The critical terms for an MSA will vary widely depending on your industry and the nature of the transaction. Generally speaking, MSAs should include terms addressing: term, termination, structure of the transaction (i.e., are multiple SOWs contemplated), intellectual property ownership, limitations on liability, indemnification, warranties, timing and payment terms, and confidentiality. Those are what I would call the material terms that are critical to setting the expectations of the parties, protecting your interests, and most likely to come up in the event of a dispute. There are myriad other issues that are slightly less important but still need to be addressed, including everything from dispute resolution to assignment to independent contractor status. Depending on your industry, you may need highly detailed sections on data protection and service levels, or not need any language on those issues whatsoever. I highly recommend you consult with an attorney who has experience in drafting MSAs and can prepare a template for you to use for this transaction and all similar deals moving forward. Hello! The most significant risk is missing or being late on a payment, which could potentially breach the purchase agreement. Another risk is that the current owner usurps the deal or attempts to sell the property to someone else. At least, these are some of the practical risks. An attorney should review the written Lease Purchase agreement to outline the potential risks and recommend possible edits.

Agreements often have clauses that survive termination. It would be hard to advise you without seeing the contract. How broad/reasonable the clause is, is there a liquidated damages clause, are they asking for equitable relief, etc. And of course, all these likely involve litigation. Consultation about theater covid policy

We booked a local theater to put on performance. At signing of contract, there was no covid restriction. However, recently theater imposed a restriction to audiences who come to the show that they either vaccinated or show negative PCR test results within 72 hours of show. This new policy hurt our ticket sale badly. Please note, this is theater initiated policy, not from government.

Can a repayment agreement be enforced if it was made verbally and not in writing?

I recently loaned a significant amount of money to a friend in need, and we agreed on a repayment plan where they would pay me back in monthly installments. However, we did not put this agreement in writing, and it was purely a verbal agreement. Now, my friend is refusing to make the payments, and I'm wondering if I have any legal recourse to enforce the repayment agreement even though it was not formalized in writing.

I'm so sorry about your situation! My name is Dolan. The answer is yes. Under California law, a breach of contract occurs when one party fails to fulfill a legal duty the contract created and causes damages for the plaintiff. (California Civil Jury Instructions Number 303.) The measure of damages is the amount that will compensate the aggrieved party for all the detriment caused thereby or likely to result therefrom. (Cal. Civ. Code § 3300.) Parties can also seek '"specific performance" of the agreement under section 3388 of the civil code. This applies regardless of whether the agreement was written or done orally. Typically, the aggrieved party is entitled to be returned to the same position they were in before the breach.
