For a more detailed response, you need to talk to an attorney in the place where the contract states for its choice of law. If your contract does not state a choice of law, it is possible the place where you live is not actually the law that applies to the contract. The law of the place where the buyers are located might apply. Typically, the words in a contract are to be interpreted in their usual and customary way and not in any technical way, unless the contract indicates otherwise. So, the dictionary meaning of "maintenance" may well be applied. I see two definitions in Merriam-Webster, both of which are not helpful to you because they are broad, not distinguishing between "maintenance" stuff like replacing brake shoes in a trailer's electric drum brake system and fixing or replacing broken things like an A/C unit that simply died after running non-stop during a heat wave. There may be some case law on this in the correct jurisdiction. Your really need to talk to a local attorney and show them the contract you have.

Yes, they can, depending on how they’re written. Generally speaking, a promise to enter into an agreement isn’t binding. But the problem with most Letters of Intent is that they can sometimes contain all of the essential elements of a contract: offer, consideration, demonstration of capacity, and contracting for something it’s legal to contract for. So how is a Letter of Intent NOT a contract? You have to remove one of the elements, usually the offer or consideration. It has to say that it’s not an offer, for example - that it’s a negotiation document. And 99/100, LoI’s don’t say that at all.

I'm sorry to hear about what seems like a complicated mess. I suggest that you carefully review the contracts from each agency. The types of questions a contracts attorney would look for would include whether or not you're obligated to the first agency for referring a person and whether or not the second agency may be on the hook to the first agency for referring an employee signed up with the first agency. I'd want to know the time limits for referrals - eg, if the first agency's contract says that you would be obligated to pay them for a hire within "x" amount of time after referring the candidate. The first agency wants to be paid for their time/effort, which is reasonable, especially if they had a contract with you, but you may be able to settle (if you do, be sure to get everything in writing - that they release you from further liability). If the second agency is somehow at fault, you may be able to get them to reduce the fee they charged you, and/or pay the first agency some or all of the first agency's fee.
