With 15 years of extensive transactional/contracts experience reviewing and negotiating commercial contracts including a wide variety of purchase orders and contracts and non-disclosure agreements (NDA), I believe I can immediately contribute to the continued success of your team. I have been commended for a range of valuable skills—excellent contract management and contract administration, legal research, risk analysis, drafting and negotiations, and strategic thinking. I have worked as a legal consultant for 10+ years and I have reviewed over 7,500 contracts through this position. Contracts I have reviewed include but not limited to purchase orders, commercial and construction contracts, equipment rental agreements, non-disclosure, confidentiality, vendor agreements, service agreements, site access agreements, international agreements, request for proposals (RFP), bids and government contracts. These experiences have enabled me to master the ability to work independently and expeditiously to identify and assess issues and provide legally sound recommendations, consistent with good business practices. I have led teams (sales, insurance and management) to successfully negotiate contract terms with customers. Effective Communicator and Negotiator. I am a people person, and for the past 13 years, I have acquired excellent oral and written communication skills that enable me to interact and negotiate effectively with stakeholders at all levels. I am a self-starter with a strong work ethic. I have a high degree of resourcefulness, diligence, and dependability. Most important, I adapt to changing priorities quickly, thriving in an environment with high volume and short turnaround deadlines. My experience over the years allows me to transfer my skills to all types of contracts to meet the client’s needs. I am hopeful to provide similar legal expertise, effective contract administration and leadership to your organization. It would be a pleasure to meet within the next few weeks and discuss how my qualifications, experience, and capabilities will best fit the needs of your outfit.

Contracts

Nondisclosure Agreement

New York

Asked on Mar 30, 2021

Is pricing protected under an NDA?

I am in a negotiation with a vendor and they are trying to get us to sign a mutual NDA because they want to protect their pricing.

Ramsey T.

Answered Mar 30, 2021

The answer depends upon how you define protected or confidential information under your NDA. Even if pricing is included as protected information, often pricing becomes "excluded" from the NDA protection because the "pricing" has been made public to other third parties. You are often better protected by having a pricing methodology and ensuring that such is protected under the NDA.

Subscription Agreement

New York

Asked on Dec 11, 2024

Can a subscription agreement be terminated before the agreed-upon term if the company fails to deliver the promised services?

I recently entered into a subscription agreement with a company for their monthly service, which was advertised as providing a specific set of services. However, since signing the agreement, I have encountered numerous issues with the company's performance, including frequent service outages and failure to deliver the promised services. I am now considering terminating the subscription agreement before the agreed-upon term, but I am unsure if I have legal grounds to do so based on the company's failure to fulfill their obligations under the agreement.

Damien B.

Answered Dec 12, 2024

Hello! A material breach occurs when one party fails to perform an essential part of the contract, depriving the other party of its expected benefits. If the company’s failure to deliver the promised services meets this threshold, it could justify termination. If the company has demonstrably failed to uphold its obligations and this failure undermines the agreement's purpose, you may have legal grounds to terminate. If you need a consultation, just let me know.

Freelance Contract

Washington

Asked on Sep 13, 2024

Can a freelance contract be terminated by the client without notice?

I recently entered into a freelance contract with a client to provide graphic design services for their marketing campaign. The contract did not specify any notice period for termination by either party. However, after completing a significant portion of the work, the client suddenly terminated the contract without any warning or explanation. I would like to know if they had the right to do so without providing any notice, and if I have any recourse for the work already completed.

Merry K.

Answered Oct 11, 2024

If the contract did not specify any notice period for termination, either party can terminate without advance notice. And, yes, there is a way to receive compensation for the work you have already completed - I hope that you kept track of your hours or at least have a way to put a value on the work completed to date. You may want to start with your own letter to the other party (sent in a way that you will get a signed receipt), and, if that doesn't succeed, you can consider Small Claims Court if the value is under $10,000, or Superior Court if the value is over $10,000. Sometimes it's possible to resolve matters through mediation - you may want to propose that to the other party.

Industrial Building Lease

Kansas

Asked on Jul 7, 2025

Can the landlord change the terms of an industrial building lease agreement without my consent?

I recently signed a lease agreement for an industrial building to use as a manufacturing facility for my business. However, the landlord has informed me that they want to make changes to certain terms of the lease, such as increasing the rent and reducing the duration of the lease, without seeking my consent. I am concerned about my rights as a tenant and whether the landlord has the authority to unilaterally modify the lease agreement without my agreement.

Cherie M.

Answered Jul 15, 2025

Unless there is something in the agreement that states otherwise, no, they are not allowed to make those kinds of changes without your consent.

Book Publishing Agreement

Washington

Asked on Aug 2, 2024

Can a book publishing agreement be terminated if the publisher fails to meet certain obligations?

I have recently signed a book publishing agreement with a reputable publisher, but I have noticed that they are not fulfilling some of the obligations outlined in the contract, such as providing adequate marketing and promotion for my book. This has raised concerns for me as I believe their lack of effort may negatively impact the success of my book. I would like to know if there are any grounds for terminating the agreement based on the publisher's failure to meet these obligations.

Merry K.

Answered Sep 10, 2024

Like any other contract, if one party is not doing what they promised, that can be a valid reason for terminating a contract. I suggest that you first send a certified, return receipt letter and express your concerns. Use a polite, collaborative approach - don't make any threats.
