Can a C-Corp be dissolved without distributing the remaining assets to the shareholders?

I am a shareholder in a C-Corp that has been struggling financially for several years, and it has become evident that the company is no longer viable. We have explored options for restructuring or selling the business, but it seems that dissolution may be the most appropriate course of action at this point. However, there is disagreement among the shareholders regarding the distribution of the remaining assets, and some are proposing that the assets should not be distributed at all. Shareholder Approval - **Shareholder Meeting:** Hold a meeting of the shareholders to vote on the dissolution.
