Well, putting aside the very important detail that an LLC offers limitation of liability and a sole proprietorship does not, the difference between a sole proprietorship and an LLC is that you can allocate the profits to others through membership interests. This means you can bring on one or more investors and allocate the capital appreciation, profit and cash flow to the investors with the same or different terms from your interest, and that you can share profits with employees through a "profits interest". There is a great deal of flexibility that you can use through a properly drafted operating agreement.

Can a website hosting agreement be terminated if the hosting provider fails to meet the agreed-upon uptime guarantee?

I recently signed a website hosting agreement with a hosting provider for my e-commerce business. The agreement included an uptime guarantee of 99.9%. However, in the past few months, the hosting provider has experienced frequent downtime causing significant disruptions to my business operations. Despite repeated complaints and requests for resolution, the issue persists. I would like to know if I have grounds to terminate the hosting agreement and seek compensation for the losses incurred due to the hosting provider's failure to meet the uptime guarantee.

In many website hosting agreements, an uptime guarantee is a critical component, and failure to meet this benchmark can be considered a breach of contract. If your provider’s frequent downtime falls significantly short of the promised 99.9% uptime, and the contract includes specific provisions that allow for termination or remedies when such service levels are not met, you likely have grounds to terminate the agreement. Often, these agreements include Service Level Agreements (SLAs) that specify remedies—such as service credits, termination rights, or even compensation for losses—in the event of persistent performance issues. However, whether you can terminate the hosting agreement and seek compensation for your losses depends largely on the exact terms outlined in your contract. Some agreements may require you to follow a specific dispute resolution process or provide the hosting provider with a cure period before termination is permitted. Additionally, even if the contract does not explicitly state termination rights for failing to meet the uptime guarantee, consistent and significant performance issues may be argued as a material breach. It is advisable to review your contract carefully and consult with a legal professional who can help you determine your rights and the best course of action based on the specific language and remedies provided in your agreement.

Can a corporation amend its bylaws without a shareholder vote?

I am a shareholder in a small corporation and recently, the board of directors proposed several amendments to the company's bylaws, including changes to the voting rights and director appointment process. However, there was no mention of a shareholder vote in the proposed amendments, and I am concerned that the board may be trying to bypass our input and make unilateral decisions. I would like to know if it is legally permissible for a corporation to amend its bylaws without a shareholder vote and what my rights as a shareholder are in this situation.

Hello! My name is Dolan and I am sorry to hear about this situation. So this depends on a few things: 1. The bylaws generally are what govern. If the bylaws authorize this, then it's legal for the corporation's board members to do so. 2. This also depends on the type of shareholders. "Class A" shareholders typically are able to make decisions to amend the bylaws without lower (Class B or lower) shareholders having a say. For instance, Meta can change its bylaws without the consent of common shareholders. 3. Nevertheless, as a shareholder, you have the right to inspect the corporation's governing documents, financial records, and meeting minutes to understand the board's authority and intentions. You can request access to these documents under state law. 4. If the board is acting outside its authority or attempting to make changes that require shareholder approval, you may be able to challenge the amendments. This could involve raising objections at a shareholder meeting, contacting other shareholders to address the issue collectively, or pursuing legal action if necessary. What would an individual hoping to start small businesses with no funding now need in a loyal and sincere legal professional?

I am a woman who have varied ideas for businesses and who needs to have a cost line item for a good lawyer who can handle my needs (which I may not know now) in starting a consulting business in managing projects, travels, speech deliveries - story telling, and may be, some property deals among others.
