I represent a diverse mix in a vast array of specialties, including litigation, contracts, compliance, business and financial strategies, and emerging industries. Credit for this foundation of strength goes to those who taught me. Skilled professors and professionals fostered my powerful educational and professional background. Prior to law school, I earned dual Bachelor’s degrees in Business Administration & Accounting from Peru State College. I received a Master of Business Administration degree from Chadron State College. My ambitions did not stop there. While working full time as a Senior Accountant for the University of Missouri, Columbia, I achieved the lifelong goal of becoming a licensed Certified Public Accountant (CPA). Mizzo provided excellent opportunities and amazing experiences. Managing over $50M in government and private research funding was a gift. As a high ranking professional in the Department of Research, I was given priceless insight into the greatest scientific, journalistic, medical, and legal minds in the world. My passion for successful growth did not, and has not stopped. I graduated summa cum laude (top 3%) with a Doctorate in Law, emphasizing in urban, land use and environmental/toxic tort law from the University of Missouri, Kansas City. This success lead to invaluable experiences of serving as Hon. Brian C. Wimes' judicial clerk for the U.S. District Court for the W. D. of Missouri, as a staff editor/writer for UMKC Law Review, and as a litigation and transactional attorney with Lathrop GPM (fka Lathrop & Gage). My professional and personal network is expansive, with established relationships throughout the U.S. and overseas. Although I engage in legal practice all over the country, I maintain law licenses in Missouri, Kansas, and Nebraska. Federally, I hold licenses in the W.D. and E.D. of Missouri and the District of Nebraska. To offer extra value, efficiency, and options, I maintain a CPA license and am obtaining a real-estate brokerage license.
"I contacted Parachini Law after I had sent multiple unanswered information requests a third party. Mark not only send out a record request to the address specified, but also sent out additional requests at other possible business addresses to ensure the request was received. As a result, I finally received the information I was looking for. The firm was very professional to work with."

I am an attorney with over 13 years experience licensed in both Illinois and Indiana. I spent the early part of my career as a civil litigation attorney. Eventually, I moved into an in-house role, specifically as general counsel, to help companies avoid the pains of litigation. In doing so, I gained significant experience in executive leadership, corporate governance, risk management and cybersecurity/privacy. I bring this wealth of experience to my client engagements to not only resolve the immediate issue, but help implement lasting improvements in practices to avoid similar problems going forward.

Employment Legal Questions and Answers

Non-Competition Agreement
Kansas
Is my non-competition agreement enforceable?
I recently left my job at a technology company and signed a non-competition agreement when I started working there. I have been offered a new job opportunity with a competitor in the same industry, but I am unsure if the non-competition agreement I signed is enforceable. I want to know if I can legally take the new job without facing any legal consequences from my previous employer.
Christopher N.
Generally the answers is: it depends. non-compete clauses are falling out of favor in most courts due to the growing restrictive nature of the clauses. It of course depends on your industry, state, and the uniqueness of your position. For example, a non-compete clause in the retail industry saying you cannot work for a competitor store as a customer service representative is likely unenforceable. If you are a highly skilled, trained, and educated wall street stock trader you may be prevented from working for a competitor for a period of time -- but even that is likely not enforcement -- it depends on alot of factors specific to you, the position, the industry, the state, and the acutal contract language. I highly recommend you consult with local employment lawyer in your state to get specific answers to your situation. Good luck.

Employee contract, such as non compete/non solicit, could having this contract ever result in criminal/jail time?
If someone accuses you of fraud, because they believe you never had intended to honor your employment contract such as non-compete/non-solicit. Could this ever become a criminal case, resulting in criminal/jail time?
Matthew S.
No, at worst, it is a breach of a contract which is a civil matter to be handled in civil court.

Employee or "independent contractor"
Hello, I'm starting a janitorial company. and I'm trying to keep my cost down. as of right now i will be doing all the "cleanings" if i get to over whelm i might need help for one or two gigs which would be 8 hrs or 16 hrs every two weeks if that. so i wanted to see if in California if im able to get help and have them come in as a independent contractor?
Alen A.
Hi there, In California, workers are presumed to be employees UNLESS a company can prove ALL THREE of the following: 1) Control: Worker is free from the control and direction of the hiring entity in connection with the performance of the work, both under the contract for the performance of the work and in fact; 2) SCOPE: The worker perform work that is outside the usual course of the hiring entity's business; and 3) TRADE: The worker is customarily engaged in an independently established trade, occupation or business of the same nature as that involved in the work performed. AB5 does list occupations that are exempt from the test above but your occupation isn't one of them. I would need more information to give you legal advice but based on your question, you will not likely be able to have them as independent contractors.

Can you explain the enforceability of a Non-Disclosure Agreement (NDA) signed between two parties, specifically in the context of protecting trade secrets?
I recently started a new job at a technology company where I was required to sign a Non-Disclosure Agreement (NDA) to protect the company's trade secrets and confidential information. However, I have concerns about the enforceability of this agreement and the potential consequences if I were to accidentally disclose any information. I want to understand the legal implications and limitations of the NDA, including any loopholes or circumstances in which the agreement may not hold up in court.
Damien B.
Hello! My name is Damien Bosco. My law office is in Long Island City, across from Manhattan. Under the Defend Trade Secrets Act (DTSA) and New York law, trade secrets are protected if the company has taken reasonable steps to keep the information confidential. Information that is publicly available or widely known cannot be protected by an NDA. If the NDA is too broad in scope, fails to specify what constitutes confidential information, or restricts lawful activities, courts may void or modify it. Carefully review the NDA to identify what is considered confidential and the obligations imposed on you. Or have an attorney review it for you who can provide a consultation on accidental disclosure, negligent disclosure, and intentional disclosure of trade secrets.

Noncompete agreement and promotions?
I recently accepted a promotion within my company and was asked to sign a noncompete agreement. I am concerned that if I accept the promotion and then leave the company, that I will not be able to take a similar position with another company. I am also worried that if I don't accept the promotion, I may be at risk of being terminated. I need to know what my rights are and what the implications are of signing the noncompete agreement.
Thomas L.
It depends on the terms of the non-compete and the size of your employer. Without seeing the agreement and knowing the size of your employer, I can't offer more advice.
Quick, user friendly and one of the better ways I've come across to get ahold of lawyers willing to take new clients.
