My practice has involved a wide range of legal matters from commercial real estate, finance and international business transactions to litigation matters including commercial disputes, real estate, employment, and medical malpractice. Proficient in Spanish, I graduated from the University of Kentucky College of Law, the Patterson School of Diplomacy and International Commerce, and the University of Southern California. Prior to my legal career, I sought diverse professional experiences. After graduating from college, I orchestrated my own volunteering experience in southern Peru with a small non-profit organization. Later I gained valuable professional experience as part of a U.S. Senate campaign, and after that I joined the public policy team at Greater Louisville, Inc., Louisville's Chamber of Commerce affiliate. Prior to law school, I embarked on a month long excursion with the Northern Outdoor Leadership School in Alaska, which gave me a new found appreciation for sustainability.

Art Consignment Agreement

Arizona

Asked on Aug 20, 2024

Can an art consignment agreement be terminated by the artist if the gallery fails to sell the artwork within a specified time period?

I am an emerging artist who recently entered into an art consignment agreement with a gallery to exhibit and sell my artwork. The agreement states that the gallery will have exclusive rights to sell my artwork for a period of one year. However, it has been six months since the agreement was signed and the gallery has not sold any of my artwork. I am concerned about the lack of sales and wonder if I have the right to terminate the agreement and seek representation elsewhere, or if I am bound by the terms of the agreement for the full year.

David U.

Answered Sep 13, 2024

It really depends on the wording of your contract. From your note it sounds as if you have an enforceable contract (offer, acceptance, consideration, and it is legal). Unless you negotiated sales benchmarks/cutoffs, you may be stuck for the rest of the term. A possible approach might be for you to begin discussing next year and requiring sales thresholds in return for extending the contract. Before that, you may want to ask them to cancel the contract early since they haven't been able to achieve any sales. They may agree to that - you never know.

Software Development Agreement

New York

Asked on Mar 10, 2025

What are the key terms that should be included in a Software Development Agreement?

I am a software developer who is about to enter into a contract with a client to develop a custom software solution. I want to ensure that the agreement adequately protects my interests and outlines the responsibilities and obligations of both parties. I would like to know what key terms and clauses should be included in a Software Development Agreement to ensure a fair and comprehensive agreement.

Damien B.

Answered Mar 10, 2025

For software development agreements, the scope of work and payment terms are the most important provisions. The agreement should also address Intellectual property issues, such as copyright ownership. The most important provision in all contracts is what law governs the agreement. If parties are across state lines or from different countries, what law governs the agreement and in what venue do the parties agree to handle the dispute are pertinent. Also, whether arbitration or mediation is mandatory should be included in the contract. Confidentiality and Nondisclosure provisions are essential also. Other provisions involve change requests, warranties, indemnification, and termination clauses.

Business Contract

Connecticut

Asked on Sep 27, 2021

What should I do? How should I proceed this situation.

Hello, I sign a sale contract to buy a dog with a purchase of travel cost. The sales person received a payment and started the process to ship the puppy. But it came a hiccup when the puppy to small to be in a crate that was not secure. The airport was trying to charge 1000 to 1500 which the sales person did not have and wanted me to pay it. I could not pay it and the sales person could not supply the crates from a local store. So we made a agreement he would pick the dog up from the airport and refund the money back. It has been 6 hours and the sales person did not refunded and now I can not get in touch with him. What should I do

Jane C.

Answered Sep 28, 2021

Do you have a written agreement? Does this agreement deal with what happens in the event that either party breaches the agreement? How did you pay? If you paid by credit card, you can call and cancel payment.

Collaboration Agreement

California

Asked on Sep 22, 2024

Can a collaboration agreement be terminated if one party fails to meet their obligations?

I am currently in a collaboration agreement with another individual for a joint business venture, where we agreed to share resources, responsibilities, and profits. However, it has come to my attention that the other party has consistently failed to fulfill their obligations as outlined in the agreement, such as not contributing their fair share of financial resources and not meeting project deadlines. This has caused significant delays and financial losses for me. I would like to know if I have the legal right to terminate the collaboration agreement due to their breach of contract and seek compensation for the damages incurred.

Dolan W.

Answered Oct 29, 2024

I'm so sorry about this situation! The answer is yes. Under California law, a breach of contract occurs when one party fails to fulfill a legal duty the contract created and causes damages for the plaintiff. (California Civil Jury Instructions Number 303.) The measure of damages is the amount that will compensate the aggrieved party for all the detriment caused thereby or likely to result therefrom. (Cal. Civ. Code § 3300.) The law generally allows you to suspend your performance, much like if you stop paying your cell phone bill, your account is cut off. Also, any contract entered into after January 1, 1986 that does not stipulate the legal rate of interest, the obligation shall bear an interest rate of 10% per year after the breach. (Cal. Civ. Code § 3289.) This applies regardless of whether the agreement was written or done orally. Typically, the aggrieved party is entitled to be returned to the same position they were in before the breach. You have some options you can explore: You may want to consider just writing a formal demand letter. You can find it here - https://www.contractscounsel.com/t/document-form-checkout/119 You can file a lawsuit in your local court. If you’ve already sent a bunch of letters, then the truth is this is the only way to compel them to do anything. Best of luck! Dolan

Case

Do advise if your firm handles breach of contract / business litigation cases.

Donya G.

Answered Sep 18, 2021

Yes, the website has attorneys who handle breach of contract/litigation issues. Simply post your job to the site. Once posted, attorneys with the interest and expertise will apply to the post. You will receive an email from the site advising you that you have applications to review. You can then have discussions with those attorneys to decide on an attorney you prefer, A deposit of the charges would be required at the time of hire and the balance would become new when the attorney delivers the product to you.
