I was given a copy of the company's Employee Handbook, but I am not sure what the disciplinary policy is or what the consequences are for violating the policy. I would like to understand the disciplinary policy so that I can better understand the disciplinary action taken against me.

Generally, a physician employment agreement contains most of the same terms as any other employment agreement. However, some of the terms must be tailored to the role. Additionally, the agreement may contain terms that are specific to the physician role. Below are some key terms in physician employment agreements: License and Continuing Education - By law, to be a physician, an individual must obtain a professional license and then must earn continuing education credits to retain the license. Most physician employment agreements address these requirements, including such factors as whether the employer or the employee is responsible for the costs associated with compliance. Privacy and Confidentiality - Physicians have more privacy and confidentiality obligations than the typical employee. For example, a physician must comply with the Health Insurance Portability and Accountability Act ("HIPAA"). Physician employment agreements commonly address standards regarding patients' information, as well as the employers' proprietary information. Special Restrictions - Due to the nature of the physician role, employers might prohibit their physician employees from providing physician services elsewhere ("non-competition agreement"). Also, some might prohibit their physician employees from soliciting patients to receive physician services elsewhere ("non-solicitation agreement").   Special considerations - Further, as applicable, physician employment agreements will detail any special considerations for the role, such as stock options, relative value unit ("RVU") expectations, or volunteering, teaching, or scholarship requirements.

Can my employer modify the terms of my severance agreement after I have signed it?

I recently signed a severance agreement with my employer, which outlined the terms and conditions of my departure from the company, including a monetary compensation package. However, my employer has now informed me that they want to modify certain aspects of the agreement. I am unsure if they have the legal right to do so, and I am seeking clarification on whether my employer can make changes to the severance agreement after it has been signed.

Hello. Thank you for the opportunity to respond to this question. In general, NO, once a severance agreement has been signed by both the employer and the employee, the agreement cannot be modified. However, if the employer hasn't yet signed the agreement, and only the employee has signed the agreement, the employer may suggest modified terms as part of the negotiation. Also, if the agreement has been executed by both parties and the agreement contains a revocation period, the employee (or possibly the employer) may still be able to revoke the agreement within a certain number of days. The agreement would have to be reviewed to see if it has a revocation clause. There are many complex issues to review in a contract of this type and I've found that the employment agreements given to medical professionals are frequently very one-sided to the benefit of the employer with complex non-compete and non-solicit restrictions. The things that should be outlined include the job responsibilities, compensation (including bonus strux), benefits, and probably most importantly termination provisions that outline compensation for termination without cause and what constitutes cause. Lastly, I alway recommend a dispute resolution process that involves mediation and arbitration rather than the courts.
