"Kelynn P. was excellent. I set up a project to assist my sis in law on a project. Her feedback was as follows: "Kelynn was great. I was on a tight time crunch and in search for an attorney. She quickly got up to speed on the status of the project. She used her expertise to add value and she was patient, listened, and was knowledgeable. She is knowledgeable of the law, negotiations, contracts, terms and conditions, and provides real life examples that provide valuable insight which empower you to strategically make the best decision. In short, Kelynn was instrumental in the resolution of my project. Overall the quality of work was exceptional and she even followed up with me to see how things are going after her scope of the project was completed. She cares about her projects and clients. I recommend Kelynn and if I need anything in the future, I know who to contact and who to recommend. Thank you""

My career experience has been varied. Although litigation has been a central focus, I’ve served as Of Counsel for a franchise law firm, negotiating contracts with franchisees and vendors to ensure the best terms possible for my client. I have demonstrated acumen in leading and supervising the work of others. As an associate attorney for Shulman Rogers, I oversaw the Summer Intern Program. Throughout my career I directed the work of paralegals and legal receptionists. As a solo practitioner I employed a junior attorney. At each phase I was responsible for the work and performance of another. In my transactional practice I regularly advise clients on agreements, negotiate favorable terms on their behalf, draft agreements, interpret contractual provisions in disputes, provide opinion letters, and represent clients in mediation and arbitration. I’m accustomed to working in high stress, high stakes environments with quick deadlines, demanding and often emotional clients, while performing work that requires great detail, accuracy, and advocacy.

Employee Non-Disclosure Agreement

Maryland

Asked on Jun 29, 2024

Can an employer enforce a non-disclosure agreement even after termination of employment?

I recently left my job at a tech company where I had signed a non-disclosure agreement (NDA) during the onboarding process. The NDA stated that I am prohibited from disclosing any confidential information about the company, its products, or its clients. Now that I have left the company, I am unsure if the NDA still applies to me and if the company can take legal action against me if I share any information that I learned during my employment. I want to know if the NDA is still enforceable even after termination of my employment.

Darryl S.

Answered Jun 30, 2024

Often NDAs are enforceable after employment, but the specific terms of the NDA will control and should be reviewed.

Consulting Agreement

New Jersey

Asked on Oct 4, 2022

What to look for in a consulting agreement?

I have been given a consulting agreement to sign by a potential client and want to learn the things I should be looking for to make sure I am protected and not getting into a contract I dont' want to get into. Are there any terms that are most important?

Angela Y.

Answered Oct 7, 2022

In general, consulting agreements are independent contractor agreements, which in their most basic forms are someone is paying you "x" amount for work that you do with limited or no benefits (i.e. you're not an employee). Important sections include the services section (i.e. what you are doing for them), compensation, restrictive covenants (non-competes, etc.), work product and ownership or work product, and termination. Other important sections depend on what type of services you are providing and the types of risks inherent to those services.

Contractor Agreement

Washington

Asked on Oct 24, 2023

How is performance evaluated in a contractor agreement?

I am a small business owner looking to hire a contractor for a project. I want to ensure that the performance of the contractor is evaluated fairly so that I can make sure I am getting the best value for my money. I am interested in understanding how performance evaluations are laid out in a contractor agreement.

Merry K.

Answered Nov 21, 2023

When drafting an independent contractor agreement, including terms to evaluate the contractor's performance is essential for ensuring quality and accountability. It's important to ensure that these terms are clear, achievable, and fair. Both parties should agree upon these terms before work commences. It's often advisable to consult with a legal professional to ensure that the agreement is legally sound and aligns with both parties' interests. Performance Standards: Define clear, measurable standards for the work. Milestones and Deadlines: Establish specific project milestones and deadlines. Regular Reviews: Schedule periodic reviews for progress checks and feedback. Quality Requirements: Specify quality standards and industry regulations to be met. Communication: Outline expectations for responsiveness and communication frequency. Reporting: Require regular progress reports from the contractor. Performance Metrics: Include specific metrics for evaluating work quality, efficiency, and cost management. Amendment for Improvement: Allow agreement modification for performance improvement plans. Termination for Unsatisfactory Performance: Define conditions for contract termination due to poor performance. Evaluation Methodology: Describe how and by whom the contractor’s performance will be evaluated. Dispute Resolution: Provide a process for resolving performance-related disputes. Confidentiality: Emphasize the importance of confidentiality in project details and evaluations.

Employment Offer

Washington

Asked on Dec 5, 2023

Is confidentiality needed for an employment offer?

I recently received an employment offer from a company I am interested in working for. However, the offer did not include any kind of confidentiality agreement. I am concerned that the offer may not be legally binding, or that the company may not honor its terms. I am hoping to get guidance from a lawyer on whether or not confidentiality should be included in an employment offer.

Merry K.

Answered Dec 8, 2023

I would be happy to help review your offer, but, no, there are no legal requirements in employment or contract law that an employer or you must keep the terms of an offer confidential, or that the contract include any requirement that you keep anything at the company confidential. So, in theory at least, if I offered you a job at $100K/year, I could publish a full-page newspaper ad with all the terms of the contract I offered to you spelled out in the ad. (Now, you may be able to argue an invasion of privacy, but, as to the example I gave you, standing alone, I don't think you would win).
